Other Transaction definition

Other Transaction means a transaction or series of related transactions (other than the Merger) resulting in (a) any change in control of the Company, (b) any merger or consolidation of the Company or any of its Subsidiaries, regardless of whether the Company or such Subsidiary is the surviving Entity, (c) any tender offer or exchange offer for, or any acquisition of, any securities of the Company, or (d) any sale or other disposition of assets of the Company of any Subsidiary not otherwise permitted under Section 3.18. Participating Agreement will have the meaning given to it in the Preamble. Participating Companies will mean the Company and the Other Participating Companies.

  • In accordance with 10 U.S.C. § 2371b(f), the Government may award a follow-on production contract or Other Transaction (OT) for any OT awarded under this BAA if: (1) that participant in the OT, or a recognized successor in interest to the OT, successfully completed the entire prototype project provided for in the OT, as modified; and (2) the OT provides for the award of a follow-on production contract or OT to the participant, or a recognized successor in interest to the OT.

More Definitions of Other Transaction

Other Transaction means the "Transaction" as defined in the Other Participation Agreement.

Other Transaction means: (a) any transaction, other than Transactions, entered into by you with any Citi Company which is: (i) a rate swap transaction, swap option, basis swap, forward rate transaction, commodity swap, commodity option, equity or equity index swap, equity or equity index option, bond option, interest rate option, foreign exchange transaction, cap transaction, floor transaction, collar transaction, currency swap transaction, cross-currency rate swap transaction, currency option, credit protection transaction, credit swap, credit default swap, credit default option, total return swap, credit spread transaction, repurchase transaction, reverse repurchase transaction, buy/sell-back transaction, securities lending transaction, weather index transaction or forward purchase or sale of a security, commodity or other financial instrument or interest (including any option with respect to any of these transactions); or (ii) a type of transaction that is similar to any transaction referred to in (i) above that is currently, or in the future becomes, recurrently entered into in the financial markets (including terms and conditions incorporated by reference in such agreement) and which is a forward, swap, future, option or other derivative on one or more rates, currencies, commodities, equity securities or other equity instruments, debt securities or other debt instruments, economic indices or measures of economic risk or value, or other benchmarks against which payments or deliveries are to be made; or(b) any combination of the transactions listed in (a) above, entered into by you with any Citi Company;
Other Transaction means any of the following, other than the Merger as contemplated by this Agreement: (A) a merger, consolidation, share exchange, exchange of securities, reorganization, business combination or other similar transaction involving the SeaMED; (B) a sale, lease, transfer or other disposition of all or a significant portion of the total assets of SeaMED in a single transaction or series of related transactions; (C) a sale of, or tender offer or exchange offer for, or acquisition by any Person or group of beneficial owners of, fifteen percent (15%) or more of the outstanding shares of capital stock of SeaMED in a single transaction or series of related transactions; or (D) a public announcement of a proposal, plan, intention or agreement to do any of the foregoing.
Other Transaction means any transaction or series of transactions, other than the transactions contemplated by the Series Agreements, involving: (i) any merger, exchange, consolidation, business combination, plan of arrangement, issuance of securities, acquisition of securities, reorganization, recapitalization, takeover offer, tender offer, exchange offer, purchase, sale (including short sale), transfer, option, proxies or other transaction (A) in which a person (including the Seller) or group of persons directly or indirectly acquires beneficial or record ownership of securities resulting in beneficially owning 4.0% or more of the outstanding securities of any class of voting securities or debt securities of the Company or any material subsidiary thereof (other than the Purchased Shares if this Agreement is terminated accordance with Sections 8.1.3.2 or 8.1.3.2 and the PIPE Agreement is consummated); or (B) in which the Company or any material subsidiary thereof issues securities resulting in a person or a group of persons beneficially owning 4% or more of the outstanding securities of any class of voting securities of the Company or any material subsidiary thereof or debt securities; (ii) any sale, lease, exchange, transfer, license, acquisition or disposition of any business or businesses or assets that constitute or account for 5% or more of the consolidated net revenues, consolidated net income or consolidated assets (including for this purpose the outstanding equity securities of the Company's subsidiaries) of the Company or any material subsidiary thereof (but other than in the ordinary course of business consistent with past practice); (iii) "solicitation" of "proxies" to vote (as such terms are used in the rules under the Securities Exchange Act of 1934 (collectively, as amended, the "EXCHANGE ACT")) with respect to any Ordinary Shares, calling or seeking to have called a meeting of shareholders of the Company or execution of any written consent in lieu of such a meeting, submitting a shareholder proposal to the Company or a demand that the Company convene a shareholders meeting, or seeking to advise or influencing any person or entity with respect to the voting of any voting securities of the Company; or (iv) seeking control of the management or the Board of Directors of the Company or policies of the Company, or any change which results or is reasonably likely to result in a change in the majority of the persons who constitute the board of directors of the Compa...
