Other Participating Companies mean those companies or entities engaged in the teleconferencing business who execute agreements and plans of reorganization, stock purchase agreements or asset purchase agreements with VIALOG which agreements close contemporaneously with this Agreement.

  • VIALOG will exercise commercially reasonable efforts to furnish the Company a copy of any press release relating to Other Participating Companies prior to its publication and will furnish a copy of any such press release so issued as soon as practicable after its publication, but any failure on VIALOG's part to do so will not be deemed a breach of or default under this Agreement.

  • Participating Companies means any insurance company (including Insurance Company) that offers variable annuity and/or variable life insurance contracts to the public and that has entered into an agreement with one or more of the Funds.

  • Non-Participating Hospital means an Administrator Hospital that does not meet the definition of a Participating Hospital.

  • Participating Dentist means any Dentist who, at the time of rendering a Covered Dental Service to the Member, has a written agreement with CareFirst BlueChoice or the Dental Plan for the rendering of such service.

The Committee may provide that any Participating Corporation shall only be eligible to participate in the Non-Section 423 Component.

  • Participating Employer means any trade or business (whether or not incorporated) which adopts this Plan with the consent of the Company identified in the Adoption Agreement.

  • Participating FFI means an FFI that, as from the effective date of any rules requiring withholding on "passthru payments" (as such term is defined pursuant to Sections 1471 through 1474 of the Code and any regulations thereunder or official interpretations thereof), meets the requirements of Section 1471(b) of the Code and any regulations or other official guidance issued thereunder and that has not elected to be withheld upon pursuant to Section 1471(b)(3) of the Code;

  • Participating Subsidiary means a Subsidiary which has been designated by the Administrator as covered by the Plan.
