Other Management Agreements definition

Other Management Agreements means those certain Second Amended and Restated Management Agreements and/or Management Agreement(s) (as applicable), dated as of the Execution Date but to be effective as of the Effective Date, by and between Manager or an Affiliate and Tenant or an Affiliate with respect to the Portfolio Properties other than the Hotels, as the same may be supplemented, amended or modified from time to time.

Other Management Agreements means the technical management agreements entered into or to be entered into (as the context so requires) between the Other Charterers and the Approved Manager in respect of the Other Vessels;

Other Management Agreements has the meaning specified in Section 18.

Examples of Other Management Agreements in a sentence

• The parties hereto acknowledge and agree that this Agreement and the Other Management Agreements are intended to constitute, and shall constitute, a single transaction.

• The Owners hereby acknowledge and agree that the Manager may become a party to Other Management Agreements and, as a result, the Manager may engage in business activities that are in competition with the business of the Owners in respect of the Sites.

• All Additional Working Capital shall be utilized by Manager on behalf of Tenant for the purposes of this Agreement pursuant to cash-management policies established for the System; provided, however, that so long as any of the Hotels are subject to the Pooling Agreement, the Working Capital for such Hotels will be pooled with working capital provided under the Other Management Agreements and may be used to fund working capital needs for all Portfolio Properties.

• All such books and records ("Records") shall be kept in an organized fashion and in a secure location and separate from records relating to Other Management Agreements.

• All funds so advanced for Working Capital shall be utilized by Manager on behalf of Tenant for the purposes of this Agreement pursuant to cash-management policies established for the System provided, however, that so long as any of the Hotels are subject to the Pooling Agreement, the Working Capital for such Hotels will be pooled with working capital provided under the Other Management Agreements and may be used to fund working capital needs for all Portfolio Properties.

More Definitions of Other Management Agreements

Other Management Agreements mean the management agreements listed on Exhibit A attached hereto between Manager and certain Affiliates of Owner, and any new management agreements entered into between Manager and Owner in accordance with that certain letter agreement, dated as of the date hereof, between Manager and Westfield America, Inc. (formerly known as CenterMark Properties, Inc.) ("WEA").

Other Management Agreements means any other agreement to administer Services to any other party.

Other Management Agreements means that certain International Services Agreement dated as of September 28, 2000 by and between Owner and Marriott International, Inc., a Delaware corporation, together will all amendments and supplements thereto..

Other Management Agreements means the Management Agreements between the Parent and the Other Managers, dated as of the date hereof.

Other Management Agreements means the Management Agreements between Manager or an Affiliate and Tenant with respect to the Portfolio Properties other than the Hotels.

Other Management Agreements means any agreement other than this Agreement pursuant to which the Manager provides services comparable to the Services to another Person. “Owners” shall have the meaning ascribed to it in the preamble hereto.

Other Management Agreements means all Management Agreements entered into between CenterMark Properties, Inc. or its Affiliate and Manager (other than the Management Agreement), as the same may be amended from time to time.
