Other Leases definition

Other Leases means, collectively, the Lease Agreements between Landlord, or an Affiliate of Landlord, and Tenant with respect to the properties described on Exhibit B, but excluding any Lease Agreements terminated pursuant to their terms or by mutual agreement of the parties.

Other Leases and "Collective Leased Properties" set forth in this Agreement shall be amended to eliminate any references to any of the Other Leases or Collective Leased Properties not simultaneously transferred to the successor to Landlord under this Agreement, and the references to "Other Leases" and "Collective Leased Properties" set forth in the Other Leases shall no longer include this Lease or the Leased Property;

Other Leases means, collectively, (a) that certain Third Amended and Restated Lease Agreement No. 1, dated as of the Effective Date, between Landlord and Tenant, together with all modifications, amendments and supplements thereto, (b) that certain Third Amended and Restated Lease Agreement No. 2, dated as of the Effective Date, between Landlord and Tenant, together with all modifications, amendments and supplements thereto, (c) that certain Third Amended and Restated Lease Agreement No. 4, dated as of the Effective Date, between Landlord and Tenant, together with all modifications, amendments and supplements thereto, and (d) that certain Second Amended and Restated Lease Agreement No. 5, dated as of the Effective Date, between Highway Ventures Properties Trust, Highway Ventures Properties LLC and Tenant, together with all modifications, amendments and supplements thereto.

Examples of Other Leases in a sentence

• Given that the Comparables and the Other Leases (i) involved leasing of properties for business operation; (ii) were entered into by companies listed on the Stock Exchange; and (iii) have duration of more than three years, Maxa Capital is of the view that the Comparables and the Other Leases are comparable with the 2020 Wenmo Garment Lease Agreement.

• The properties under the Comparables are used for business operation such as office, hotel and shopping center and the properties under the Other Leases are used as warehouse, which are all in nature similar to and comparable with the Premises under the 2020 Wenmo Garment Lease Agreement.

• In no event shall Tenant or any of its Affiliates be deemed to be an Affiliate of Landlord or any of Landlord’s Affiliates as a result of this Lease, the Other Leases, the MLSA, the Other MLSAs and/or as a result of any consolidation by Tenant or Landlord of the other such party or the other such party’s Affiliates with Tenant or Landlord (as applicable) for accounting purposes.

• Notwithstanding any provision contained herein, at any time during the Lease Term where (or its Affiliate) is the Lessor hereunder, upon written notification to Lessee, Lessor may elect, in its sole discretion, to amend any of the Other Leases to include all (but not less than all) of the Properties in such Other Lease.

• In connection with the foregoing, the parties hereby acknowledge that Seller is currently in the process of negotiating a letter agreement (the “JP Sublease Letter Agreement”) with JPMorgan memorializing the understanding of JPMorgan and Seller with respect to their respective obligations relating to the Other Leases; a copy of the most recent version of the JP Sublease Letter Agreement currently being negotiated is attached hereto as Exhibit P.

Other Leases. All other leases entered into between Lessor or any Affiliate of Lessor, on the one hand, and Lessee, any Guarantor, or any of their respective Affiliates, on the other hand.
