Other Government Contract definition

Other Government Contract means any prime contract with any Governmental Body held by another prime contractor or higher-tier subcontractor under which the Company is a subcontractor or lower-tier subcontractor thereto.
Other Government Contract when used specifically, means any prime contract with the U.S. Government held by another prime contractor or higher-tier subcontractor under which the Company or the Company Subsidiaries is a subcontractor or lower-tier subcontractor thereto. (b) Schedules 4.13(b)(i), 4.13(b)(ii) and 4.13(b)(iii) of the Disclosure Schedules, respectively, set forth a complete and accurate record of (i) all of the Company’s and the Company Subsidiaries’ Government Contracts the period of performance of which has not yet expired or been terminated and for which final payment has not been received as of the date of this Agreement; (ii) all of the Company’s and the Company Subsidiaries’ quotations, bids and proposals for Government Contracts outstanding as of the date of this Agreement; and (iii) all of the Company’s and the Company Subsidiaries’ Government Contracts which, to the Knowledge of the Company, are currently or are likely to experience cost, schedule, technical or quality problems resulting from actions or inactions by the Company or the Company Subsidiaries that could result in claims against the Company or the Company Subsidiaries (or their respective successors in interest) by the U.S. Government, a prime contractor or a higher-tier subcontractor. (c) The Company has provided or made available to Purchaser true and complete copies of all Government Contracts, quotations, bids and proposals listed in Schedules 4.13(b)(i) and 4.13(b)(ii) of the Disclosure Schedules. (d) All of the Company’s and the Company Subsidiaries’ Government Contracts listed (or required to be listed) in Schedule 4.13(b)(i) of the Disclosure Schedules (i) to the Knowledge of the Company, were legally awarded, and are binding on the other parties thereto (subject to the Enforceability Exceptions), and (ii) to the Knowledge of the Company, are binding on the Company or the Company Subsidiaries, as applicable, and are in full force and effect (subject to the Enforceability Exceptions). To the Knowledge of the Company, such Government Contracts (or, where applicable, the Other Government Contracts under which such Government Contracts were awarded) are not currently the subject of bid or award protest proceedings. (e) Each of the Company and the Company Subsidiaries has complied in all material respects with all statutory and regulatory requirements where and as applicable to each of the Company’s and the Company Subsidiaries’ Government Contracts and each of the Company’s and the Company Subsi...
