Other Corporate Rights definition

Other Corporate Rights means (i) usufruct or trust on the shares issued by the Company; (ii) options to purchase, subscribe or exchange, for any purpose, that may result in the acquisition of shares issued by the Company; or (iii) any other right that permanently or temporarily guarantees political or equity shareholder rights over shares issued by the Company.
Other Corporate Rights means (i) usufruct or trust on the shares issued by the Company; (ii) call options, subscription or exchange, on any account, which could result in the acquisition of shares issued by the Company; or (iii) any other right which would assure, on a temporary or permanent basis, the political or equity rights as a shareholder of the shares issued by the Company.
Other Corporate Rights means (i) usufruct or trust on the shares issued by the Company, (ii) any options or rights to buy, subscribe or swap, in any capacity, which could result in the acquisition of shares issued by the Company; (iii) any derivatives referenced in the shares issued by the Company that envisage the possibility of settlement not exclusively financial in nature; or (iv) any other rights that ensure permanently or temporarily the political or ownership rights of shareholders on the issuance of shares of the Company.

  • Corporate Group means the Corporation and its Subsidiaries treated as a single consolidated entity.

  • The Purchaser or Corporation means the APMSIDC, the purchasing agency

  • corporate person means a company as defined in clause (20) of section 2 of the Companies Act, 2013 (18 of 2013), a limited liability partnership, as defined in clause (n) of sub-section (1) of section 2 of the Limited Liability Partnership Act, 2008 (6 of 2009), or any other person incorporated with limited liability under any law for the time being in force but shall not include any financial service provider;

  • Stock Awards means all stock options, restricted stock and such other awards granted pursuant to the Company’s stock option and equity incentive award plans or agreements and any shares of stock issued upon exercise thereof.

  • Stock Appreciation Rights or “SAR” means a right granted to a Participant under Section 6(c).

  • Corporate Affiliate means any parent or subsidiary corporation of the Corporation (as determined in accordance with Code Section 424), whether now existing or subsequently established.

  • Corporate Secretary means the corporate secretary of the Corporation;

  • Corporate Headquarters means the location that is the primary center of direction, control and coordination for the company.

  • Chief Officer means the Officer appointed by the Integration Joint Board in accordance with section 10 of the Act;

  • Tandem Stock Appreciation Right means the right to surrender to the Company all (or a portion) of a Stock Option in exchange for an amount in cash and/or stock equal to the difference between (i) the Fair Market Value on the date such Stock Option (or such portion thereof) is surrendered, of the Common Stock covered by such Stock Option (or such portion thereof), and (ii) the aggregate exercise price of such Stock Option (or such portion thereof).

  • BHEL means Bharat Heavy Electricals Limited, a Company registered under the Indian Companies Act, 1956 with its Registered Office at BHEL House, Siri Fort, New Delhi, Pin-110049 through its office at FSIP-Jagdishpur or its authorized Officers or its Engineers or other employees authorized to deal with any matters with which these persons are concerned on its behalf.

  • Non-Tandem Stock Appreciation Right means the right to receive an amount in cash and/or stock equal to the difference between (x) the Fair Market Value of a share of Common Stock on the date such right is exercised, and (y) the aggregate exercise price of such right, otherwise than on surrender of a Stock Option.

  • Stock Appreciation Right or “SAR” means a right to receive the appreciation on Common Stock that is granted pursuant to the terms and conditions of Section 5.

  • Restricted Stock Plan means the RPM, Inc. 1997 Restricted Stock Plan and any successor plan or arrangement thereto.

  • Nonprofit corporation means a nonstock corporation organized under ch. 181 that is a nonprofit corporation, as defined in s. 181.0103 (17).

  • Amalgamating Corporations means both of them;

  • Public corporation means the same as that term is defined in Section 63E-1-102.

  • Awards means, collectively, Options, Purchased Stock, Bonus Stock, Stock Appreciation Rights, Phantom Stock, Restricted Stock, Performance Awards, or Other Stock or Performance Based Awards.
