Original Options definition

Original Options has the meaning set forth in the recitals to this Agreement.
Original Options means the options to purchase Alcan common shares granted under the Former Plan that are to be replaced with Converted Options in connection with the Distribution;
Original Options is defined in Recital A.

Examples of Original Options in a sentence

  • For the purpose of the Vesting Period and Exercise Period, the Bonus Options will be treated at par with the Original Options on which the Bonus Options have been issued.

More Definitions of Original Options

Original Options has the meaning given in paragraph 4.1 of Schedule 1;
Original Options means the initial stock option granted to Executive on September 27, 2012 to purchase a number of shares of common stock of the Company equal to five percent (5%) of the shares of the Company, and the supplemental stock option granted to Executive on June 13, 2013 to purchase a number of shares of common stock of the Company equal to the sum of (i) five percent (5%) of the shares of the Company on a fully diluted basis less (ii) the shares subject to the initial stock option, each as set forth in the Offer Letter.]
Original Options means option granted to employees, officers and executives of Axon and associated research staff pursuant to a stock plan adopted by Axon Directors and shareholders in 1987 as described in section 11.12 of the First Prospectus.
Original Options means an option as defined in Section 8 of this Plan.

Related to Original Options

  • Options means any rights, warrants or options to subscribe for or purchase shares of Common Stock or Convertible Securities.

  • Rollover Options has the meaning provided in Subsection 3.1(h).

  • Vested Options means the Options that have vested in accordance with Section 2.2 of this Agreement.

  • 3(i) Option means an Option granted pursuant to Section 3(i) of the Ordinance to any person who is Non- Employee.

  • Replacement Options has the meaning ascribed thereto in Section 1.1 of the Plan of Arrangement;

  • Stock Options means the collective reference to "Incentive Stock Options" and "Other Stock Options".

  • Incentive Share Option means an Option that is intended to meet the requirements of Section 422 of the Code or any successor provision thereto.

  • Parent Options means options to purchase shares of Parent Common Stock from Parent (whether granted by Parent pursuant to the Parent Option Plans, assumed by Parent or otherwise).

  • Compensation Options has the meaning ascribed thereto on the face page of this Agreement;

  • Incentive Shares means an award of shares granted pursuant to Section XIII.

  • Stock Reload Option means any option granted under Section 6.3, below, as a result of the payment of the exercise price of a Stock Option and/or the withholding tax related thereto in the form of Stock owned by the Holder or the withholding of Stock by the Company.

  • Option Grant Date means, as to any Stock Option, the latest of:

  • Option Warrants shall have the meaning ascribed to such term in Section 2.2(a).

  • Company Stock Options means issued and outstanding options to acquire Company Common Stock which were granted under the Company Stock Option Plans.

  • Option Plans has the meaning set forth in Section 2.6 below.

  • Unvested Option means an Option in respect of which the relevant Vesting Conditions have not been satisfied and as such, the Option Grantee has not become eligible to exercise the Option.

  • Director Option means an Option granted pursuant to Section 6.

  • Stock Appreciation Rights Agreement means a written agreement between the Company and a Holder with respect to an Award of Stock Appreciation Rights.

  • Restricted Stock Purchase Right means a right to purchase Stock granted to a Participant pursuant to Section 8.

  • Equity Awards will mean Executive’s outstanding stock options, stock appreciation rights, restricted stock units, performance shares, performance stock units and any other Company equity compensation awards.

  • Stock Purchase Rights means any warrants, options or other rights to subscribe for, purchase or otherwise acquire any shares of Common Stock or any Convertible Securities.

  • Optioned Stock means the Common Stock subject to an Option.

  • Share Appreciation Right means the right pursuant to an Award granted under Section 8 below to receive an amount equal to the excess, if any, of (i) the aggregate Fair Market Value, as of the date such Award or portion thereof is surrendered, of the Shares covered by such Award or such portion thereof, over (ii) the aggregate Exercise Price of such Award or such portion thereof.

  • Share Option means a Nonqualified Share Option or an Incentive Share Option.

  • Rights or Options means warrants, options or other rights to purchase or acquire shares of Common Stock or Convertible Securities.
