Original Issuance Price definition

Original Issuance Price means $15.00 per share for the Series D Preferred Stock, $15.00 per share for the Series E Preferred Stock and $30.00 per share for the Series F Preferred Stock.
Original Issuance Price means, with respect to any share of Series A Preferred Stock, as of any date, $10.00 per share (subject to equitable adjustment in the event of a stock split, stock consolidation, subdivision or other event of a similar nature (other than a redemption or a conversion pursuant to the terms of this Certificate of Designations) that increases or decreases the number of shares of Series A Preferred Stock outstanding).
Original Issuance Price means $2.00 per share.

Examples of Original Issuance Price in a sentence

  • Each share of Series A Preferred Stock shall be convertible into that number of fully-paid and nonassessable shares of Common Stock that is equal to the applicable Original Issuance Price divided by the applicable Conversion Price (as hereinafter defined).

  • Upon the Company accepting a Common Unitholder’s Commitment, such Common Unitholder will automatically be obligated to pay an amount equal to the Original Issuance Price of the Common Units corresponding to that Commitment.
