Original Documentation definition

Original Documentation means the original physical copy of documents, papers, correspondence, instruments and other items and materials of whatsoever nature (i) that constitute Records, and (ii) are received by BNYM by mail through the US Postal Service or by delivery to or through United Parcel Service, Federal Express or other national courier company agreed to by BNYM and the Fund.

  • If the Corporation fails to issue and deliver to such holder such certificate(s) for shares of Common Stock within three (3) Trading Days after the Corporation's receipt of the Original Documentation, the Corporation shall pay the liquidated damages set forth in the Stock Purchase Agreement between the Corporation and the initial purchasers of the Series C Preferred Stock.

  • Technical Documentation means designs, reports, photographs, drawings, plans, specifications, computer software, surveys, calculations and other data, information and material collected, computed, drawn or produced, including computer print-outs.

  • Organizational Documents means, with respect to any Person, the articles or certificate of incorporation or organization and by-laws, the limited partnership agreement, the partnership agreement or the limited liability company agreement, operating agreement or such other organizational documents of such Person.
