There are no securities or instruments issued by or to which the Original Company is a party containing anti-dilution or similar provisions that will be triggered by the issuance of the Shares.
This Agreement and the Transaction Documents to which it is a party have been duly executed and delivered by the Investor and, assuming the execution and delivery hereof and acceptance thereof by the Original Company and/or the Company (as applicable), will constitute the legal, valid and binding obligations of the Investor, enforceable against the Investor in accordance with its terms.
The issued capital shares of the Original Company as of the date hereof consist of (i) 991,285,224 Ordinary Shares of a par value of £0.0001 each and (ii) 28,039,517 Series A Shares of a par value of £0.0001 each and 14,427,185 Deferred Shares of £0.0001 each.
