Orderly Termination definition

Orderly Termination. Upon termination or other expiration of this Contract, each Party shall promptly return to the other Party all papers, materials, and other properties of the other held by each for purposes of execution of the Contract. In addition, each Party will assist the other Party in orderly termination of this Contract and the transfer of all assets, tangible and intangible, as may be necessary for the orderly, non-disruptive business continuation of each Party.

No less than thirty (30) days prior to the expiration date of this Contract, the Contractor shall return all County Data to the County in Coma Separated Value file format.
Orderly Termination. Upon expiration or earlier termination of this Contract, each Party shall promptly return to the other Party all papers, materials, and other properties of the other held by each for purposes of performance of this Contract. In addition, each Party shall assist the other Party in orderly termination of this Contract and the transfer of all assets, tangible and intangible, as may be necessary for the orderly, non-disruptive business continuation of each Party. Upon expiration or earlier termination of this Contract, Contractor will return all County Data and files in a format acceptable to County within thirty (30) calendar days of the expiration or termination date. In addition, Contractor shall erase, destroy, and render unreadable all data in its entirety remaining in Contractor’s (including any subcontractor’s) possession, but only after County Data has been returned to County. County Data must be rendered in a manner that prevents its physical reconstruction through the use of commonly available file restoration utilities. Certification in writing that these actions have been completed must be provided within thirty (30) calendar days of termination or expiration of this Contract or within seven (7) calendar days of a request of County, whichever shall come first.

Examples of Orderly Termination in a sentence

  • Material related to disciplinary action against an educator may not be placed in the educator’s file until after the required pre-disciplinary hearing as provided in Nebo School District Policy GCPD, Employee Discipline, Administrative Leave, and Orderly Termination.

  • Any career educator may be terminated for unsatisfactory performance connected with his or her employment in accordance with Utah law, State Board of Education Rule, and Nebo School District Policy GCPD, Employee Discipline, Administrative Leave, and Orderly Termination.

  • At-will educator” is defined in Nebo School District Policy GCPD, Employee Discipline, Administrative Leave, and Orderly Termination and means an educator hired on a temporary basis or employed at less than half-time.

  • In accordance with Nebo School District Policy GCPD, Employee Discipline, Administrative Leave, and Orderly Termination and due process procedures required by law, disciplinary action up to and including nonrenewal of a Career Employee’s contract or Termination during the Contract Term of a Career Employee or Provisional Employee may be taken for good and sufficient cause.

  • Career educator" is defined in Nebo School District Policy GCPD, Employee Discipline, Administrative Leave, and Orderly Termination and means an educator who has completed the requirements of a provisional educator in the District, as defined below.

  • In the event that it should be decided to appoint a hearing officer, as provided in the Orderly Termination Act, the association and the administration shall make the selection from a mutually agreed upon list.

  • Any Career Employee may be terminated for unsatisfactory performance connected with his or her employ- ment in accordance with Utah law, State Board of Education Rule, and Nebo School District Policy GCPD, Employee Discipline, Administrative Leave, and Orderly Termination.

  • Monthly land lease fees are only $10 for thefirst three years of occupancy and plateau at $50 beginning in year six.

  • Nebo School District Policy GCPD, Employee Discipline, Administrative Leave, and Orderly Termination.

  • An educator’s employment continues in accordance with the educator’s status as temporary, at-will, provisional, or career, as set forth in Utah law and more fully defined and described in Nebo School District Policy GCPD, Employee Discipline, Administrative Leave, and Orderly Termination, Policy GCD, Hiring Practices, and this handbook.

Related to Orderly Termination

  • Early Termination means the Termination of Employment before Normal Retirement Age for reasons other than death, Disability, Termination for Cause or following a Change of Control.

  • Early Termination Date means the date determined in accordance with Section 6(a) or 6(b)(iv).

  • Automatic Early Termination provision of Section 6(a) will not apply to Party A and will not apply to Party B.

  • Early Termination Event has the meaning specified in Section 9.2.

  • Normal Termination means termination of employment or service with the Company and Affiliates:

  • Early Termination Notice is defined in Section 4.2 of this Agreement.

  • Early Termination Effective Date is defined in Section 4.2 of this Agreement.

  • Early Termination Charge means, with respect to any 2016-B Lease that is terminated prior to its Maturity Date, an amount equal to the lesser of (a) the present value (discounted at the implicit rate of such 2016-B Lease) of all remaining Monthly Payments and (b) the excess, if any, of the adjusted 2016-B Lease balance over the related 2016-B Vehicle’s fair market wholesale value in accordance with accepted practices in the automobile industry (or by written agreement between the Servicer, on behalf of the Titling Trust, and the Lessee).

  • Involuntary Termination means a termination of your employment with the Company pursuant to either (i) a termination initiated by the Company without Cause, or (ii) your resignation for Good Reason, and provided in either case such termination constitutes a Separation from Service. An Involuntary Termination does not include any other termination of your employment, including a termination due to your death or disability.

  • Early Termination Rate means the lesser of (i) 6.5% per annum, compounded annually, and (ii) LIBOR plus 100 basis points.

  • Automatic Termination shall have the meaning set forth in Section 2.3.2.

  • Early Termination Payment is defined in Section 4.3(b) of this Agreement.

  • Disability Termination means the termination of a Participant’s employment under the disability provisions of the Participant’s Employment Agreement or, if the Participant is not a party to an Employment Agreement, then as a result of a “Disability” as defined in the Plan.

  • Early Termination Fee has the meaning set forth in Section 7.2.

  • Termination Period means the period of time beginning with a Change in Control and ending on the earlier to occur of:

  • Company Termination Event means any of the following:

  • Company Termination Fee has the meaning set forth in Section 7.3(a).

  • Service Termination Date means the last Day in a month upon which Service shall terminate, as set forth in a Schedule of Service and subject to any renewal thereof.

  • Early Termination Amount means, in respect of any Note, its principal amount or such other amount as may be specified in, or determined in accordance with, these Conditions or the relevant Final Terms;

  • Early Termination Schedule is defined in Section 4.2 of this Agreement.

  • Optional Termination The termination of the trust created hereunder in connection with the purchase of the Mortgage Loans pursuant to Section 9.01(a) hereof.

  • Voluntary Termination means the termination by Executive of Executive's employment following a Change in Control which is not the result of any of clauses (i) through (v) set forth in the definition of Involuntary Termination above.

  • Involuntary Termination of Employment means the Termination of Service by the Company or Subsidiary other than a termination for Cause, or termination of employment by a Participant Employee for Good Reason.

  • Change in Control Termination means that while this Agreement is in effect:

  • Constructive Termination means:
