Option Stock definition

Option Stock shall have the meaning set forth in Section 2(a) hereof.

Option Stock means Stock issued or issuable by the Company pursuant to the valid exercise of an Option;

Option Stock means Common Stock of the Company (subject to adjustment as described in Section 12) reserved for options pursuant to this Plan.

• Notwithstanding the foregoing, the Committee may in its sole discretion provide for a longer or shorter period for exercise of an Option or Stock Appreciation Right or may permit a Participant to continue vesting under an Option, Stock Appreciation Right or Restricted Stock award or to make any payment, give any notice or to satisfy other condition under any other Award.

• If any Stock Option, Stock Appreciation Right, or Other ML & Co. Security granted under the Plan expires or terminates, or any Stock Appreciation Right is paid out in cash, the underlying shares of Common Stock may again be made the subject of grants under the Plan.

• In these circumstances, X may designate the stock that is treated as stock acquired pursuant to the exercise of an in- centive stock option by issuing a separate certificate (or certificates) for $100,000 of stock and identifying such certificates as In- centive Stock Option Stock in its transfer records.

• Each date and time the shares of Option Stock are delivered is sometimes referred to as an “Option Stock Delivery Date”, and the Initial Delivery Date and any Option Stock Delivery Date are sometimes each referred to as a “Delivery Date”.

• If any Option, Stock Appreciation Right or Other Stock-Based Awards granted under the Plan expires, terminates or is canceled for any reason without having been exercised in full, the number of shares of Common Stock underlying any unexercised Award shall again be available for the purpose of Awards under the Plan.

More Definitions of Option Stock

Option Stock means the Common Stock subject to an Option.
