Examples of OPTION SELLERS in a sentence

  • Call Option Sellers are under obligation to deliver shares whenever the Call Option Buyer exercises his right.

  • For the avoidance of doubt, if Buyer elects not to exercise the Option, Sellers shall retain the Option Fee.

  • Failure to notify will not affect the Option Seller's obligation to pay the Lock In Amount or termination.

  • All liability of the Sellers and Option Sellers under this Clause 7 shall be net of the benefits and insurance proceeds actually realized or received by the Company or the Purchaser.

  • If to the Sellers and/or the Option Sellers to the addresses set forth in Schedule 13.2; or at such other address as the respective Party may hereafter specify in writing to the other Party.

  • On and subject to the terms and conditions set forth in this Option, Sellers hereby grant to Buyer, and Buyer hereby acquire and accepts from Sellers, the option to purchase the Controlling Interest from Sellers (the “Purchase Option”).

  • Selling Shareholder has the meaning set forth in Section 3.04(a).

  • Selling Shareholders sections in substantially the form attached hereto as Exhibit B. The Company shall use its reasonable best efforts to have each Additional Registration Statement declared effective by the SEC as soon as practicable, but in no event later than the Additional Effectiveness Deadline. By 9:30 a.m. New York time on the Business Day following the Additional Effective Date, the Company shall file with the SEC in accordance with Rule 424 under the 1933 Act the final prospectus to be used in connection with sales pursuant to such Additional Registration Statement.

  • Other Selling Stockholders means persons other than Holders who, by virtue of agreements with the Company, are entitled to include their Other Shares in certain registrations hereunder.

  • Seller Shares means all shares of Common Stock of the Company owned as of the date hereof or hereafter acquired by a Common Holder, as adjusted for any stock splits, stock dividends, combinations, subdivisions, recapitalizations and the like.

  • Selling Stockholders means Purchaser and any other purchaser of Units in the Offering, and their respective successors and assigns.

  • The Purchaser means the organization purchasing the Goods, as named in SCC.

  • Option Closing Purchase Price shall have the meaning ascribed to such term in Section 2.2(b), which aggregate purchase price shall be net of the underwriting discounts and commissions.

  • Other Sellers shall have the meaning set forth in Section 10.4.

  • Selling Stockholder means any Stockholder owning Registrable Shares included in a Registration Statement.

  • Purchaser means the organization purchasing the goods.

  • Option Securities shall have the meaning ascribed to such term in Section 2.2(a).

  • Offered Shares has the meaning set forth in Section 3.02(a).

  • Firm Shares has the meaning given to it in the first paragraph of this Agreement;

  • Buyer has the meaning set forth in the preamble.

  • Sale Shares has the meaning ascribed to it at Recital (A).

  • Sellers has the meaning set forth in the preamble.

  • BIDDER/Seller which expression shall mean and include, unless the context otherwise requires, his successors and permitted assigns) of the second part.

  • Purchaser’s Warranties means the warranties and representations given by the Purchasers pursuant to Clause 5.2 and Schedule 2 and “Purchasers’ Warranty” means any one of them;

  • Purchaser/ User means ultimate recipient of goods and services

  • Option Shares shall have the meaning ascribed to such term in Section 2.2(a).

  • U.S. Purchaser is (a) any U.S. Person that purchased Units, (b) any person that purchased Units on behalf of any U.S. Person or any person in the United States, (c) any purchaser of Units that received an offer of the Units while in the United States, (d) any person that was in the United States at the time the purchaser’s buy order was made or the subscription agreement for Units was executed or delivered;

  • Primary Seller means the Seller whose Bid City selected as the principal supplier of the Goods and/or Services required under this Agreement.

  • Model 1 seller means a seller registered under the agreement that has selected a certified service provider as the seller's agent to perform all of the seller's sales and use tax functions for agreement sales and use taxes other than the seller's obligation under Section 59-12-124 to remit a tax on the seller's own purchases.

  • Closing Purchase Price shall have the meaning ascribed to such term in Section 2.1(b), which aggregate purchase price shall be net of the underwriting discounts and commissions.

  • Purchasers is defined in Section 12.3.1.

  • Buyer Entities means, collectively, Buyer and all Buyer Subsidiaries.
