Option Repurchase Price definition

Option Repurchase Price means (i) the difference between the Exercise Price and the Market Price (as defined below) as of the date of the applicable Repurchase Notice multiplied by (ii) the number of shares of Company Common Stock purchasable pursuant to the Company Option and covered by the applicable Repurchase Notice.
Option Repurchase Price means (A) the difference between the Option Repurchase Market/Offer Price (as defined below) for shares of the Company Common Stock as of the date of the applicable Repurchase Notice and the Exercise Price, multiplied by (B) the number of shares of the Company Common Stock purchasable pursuant to the Company Option or the portion thereof covered by the applicable Repurchase Notice, but only if the Option Repurchase Market/Offer Price is greater than the Exercise Price. "Option Repurchase Market/Offer Price" shall mean, as of any date, the higher of (X) the highest price per share offered as of such date pursuant to any tender or exchange offer or other offer with respect to a business combination offer involving the Company or any of its material subsidiaries as the target party which was made prior to such date and not terminated or withdrawn as of such date, and (Y) the Fair Market Value (as defined in Section 7(b)(iii)) of the Company Common Stock as of such date.
Option Repurchase Price means (A) the amount (if any) by which the Fair Market Value (as defined in Section 7(b)(iii)) of a single share of Grantor Common Stock as of the date of the applicable Repurchase Notice exceeds the per share Exercise Price multiplied by (B) the number of shares of Grantor Common Stock purchasable pursuant to the Grantor Option or the portion thereof covered by the applicable Repurchase Notice.
