Option Properties definition

Option Properties means the Seller Option Properties and the Grantor Option Properties.

Option Properties is defined in Section 9.8.

Option Properties means the real property described on Exhibits A-10 through A-14, attached hereto and made a part hereof, and all other property of Seller as more particularly set forth in the Option Agreements.

Examples of Option Properties in a sentence

• At any one time and from time to time, Mezzanine Borrower may cause Mortgage Borrower to allow Individual Properties (other than the Distribution Centers) to Go Dark provided that (i) the aggregate Allocated Loan Amount for all Individual Properties that Go Dark at any one time (excluding any Go Dark Purchase Option Properties) shall not exceed the Go Dark Limit and (ii) in no event may Mezzanine Borrower allow the Mortgage Borrower to allow any Go Dark Purchase Option Property to Go Dark.

• Accordingly, this document may be filed with the SEC and its contents and information relating to the Properties and the Option Properties will be disclosed to Purchaser's underwriters, the Securities and Exchange Commission and/or similar state authorities and to the public.

• The Partners acknowledge and agree that the Partnership is not permitted to make a partial acquisition of either of the Roseland Option Properties (i.e., only a 100% ownership interest in an Option Property may be transferred).

• The Partners desire that the fee interests in the Roseland Option Properties be conveyed to the Partnership by MCRLP and/or its Affiliate free and clear of all liens and encumbrances on or before December 31, 2017.

• The failure of the General Partner to effectuate the conveyance of the Roseland Option Properties to the Partnership or its Subsidiary pursuant to this Section 5(c) shall not be a default of its obligations under this Agreement, so long as the General Partner timely makes the required Capital Contribution or reduction to its Capital Account as provided in this Section 5(c).

More Definitions of Option Properties

Option Properties means such properties and improvements thereto which are the subject of that certain PropCo Call Right Agreement, by and among CEC, the Company and the other parties thereto, entered into in connection with the consummation of the Plan.

Option Properties means the Real Properties set forth in Part ----------------- II of Exhibit C attached hereto. Each of the Option Properties may be --------- separately referred to herein as an "Option Property".

Option Properties means such properties and improvements thereto which are the subject of those certain Call Right Agreements, by and between CEC and VICI Properties L.P., a Delaware limited partnership, entered into in connection with the consummation of the Plan.

Option Properties means such properties and improvements thereto which are the subject of that certain PropCo Call Right Agreement.

Option Properties means the properties designated as Xxxxxxxx 0, Xxxxxxxx 0, Xxxxxxxx 0, Xxxxxxxx 4, and Building 5 on Exhibit B, which Landlord, Xxxxxx Xxxxxxxxxx ("Birmingham"), or an entity in which Birmingham has an ownership interest, currently owns in fee, or in which Landlord, Birmingham, or an entity in which Birmingham has an ownership interest acquires fee title interest or a ground lessee's interest at any time during the Lease Term, including the Real Property; provided, however, that nothing contained in this Section 1(s) or elsewhere in this Lease shall constitute or be deemed to constitute a covenant, representation, or warranty on the part of Landlord or Birmingham that Landlord or Birmingham will in fact acquire an interest in the properties designated on Exhibit B, and neither Landlord nor Birmingham shall have any liability whatsoever to Tenant for their failure to do so. Tenant agrees not to pursue the leasing or purchase of the Option Property designated as Building 4 on Exhibit B with any party (other than with Landlord pursuant to Paragraphs 29, 30 and 31 below), unless and until Building 4 is transferred in a bone fide transaction to a third party in which neither Landlord nor Birmingham has an ownership interest. Further, Tenant shall not enter into any substantive discussions regarding Building 4 without the prior written approval of Landlord, which may be withheld in Landlord's sole and absolute discretion, unless and until Building 4 is transferred to a third party in which neither Landlord nor Birmingham has an ownership interest.

Option Properties means the office building properties known as "Horsham 11-14" that the Partnership has the right to purchase pursuant to the Option Agreement.

Option Properties shall have the meaning set forth in the Recitals hereof.
