Option Compound definition

Option Compound means a compound, other than a compound that is a corticosteroid, that (i) Alimera has a right to use and (ii) is selected by Alimera under an Alimera Compound Option set forth in Section 5.8; provided, however, that Option Compound shall not include any compound that is included in a license or option by CDS to a Third Party, or is included in a term sheet with a Third Party, as of the date on which Alimera notifies CDS under Section 5.8 that Alimera wishes to exercise an Alimera Compound Option with regard to such compound. For the avoidance of doubt, a “compound,” as used herein, shall be a specific compound and shall not be a category or class of compounds.
Option Compound means any of the MirnaRx Compounds on the list in the Side Letter (not to exceed [***] compounds, but subject to the substitution rights in Section 2.6), or, for any such MirnaRx Compound, any other MirnaRx Compound that has at least [***]% sequence homology with such compound.
Option Compound means a Progressed Compound which has qualified as a Development Candidate and which has been determined in accordance with the provisions of this Agreement to have satisfied the PoC Criteria as the result of successful completion of a PoC Trial conducted with such Progressed Compound.

More Definitions of Option Compound

Option Compound means any Tier 1 Compound or any Tier 2 Compound.
Option Compound means during the Option Term (and, if an IND-Ready Option Period or POC Option Period begins during the Option Term and has not expired as of the last day of the Option Term, thereafter until the last day of such IND-Ready Option Period or POC Option Period), any Secondary Pharmacology Compound or Other NNR Compound on which Targacept conducts research or development activities specifically for use in the Territory in the Field or, prior to the Schizophrenia Expiration Date, Schizophrenia and elects, in its sole discretion, to designate as an Option Compound. For purposes of clarity, (a) an Alpha4Beta2 Agonist shall not be an Option Compound, (b) an Unexercised Option Compound shall, upon becoming an Unexercised Option Compound, cease to be an Option Compound, (c) a Terminated Compound that was previously an Option Compound shall, upon becoming a Terminated Compound, cease to be an Option Compound and (d) an Excluded Zone Compound shall not be an Option Compound.
Option Compound means a Program Substance (i) which as a result of screening activities under the Research Program, [ * ] and (iii) as to which Tularik has commenced and is proceeding with preliminary development activities within [ * ] after the expiration of the Research Term.

For purposes of clarity, “Option Compounds” shall include all Collaboration Compounds Developed under a Program ***Confidential Treatment Requested with respect to which GSK has exercised a Program Option or where pursuant to the termination of a Program, GSK acquired exclusive rights to the Collaboration Compounds of such Program in accordance with Article 12, regardless of whether or not any such Collaboration Compound has qualified as a Development Candidate or has satisfied the PoC Criteria.
Option Compound means, with respect to each Program, the first Development Candidate that satisfies the PoC Criteria during such Program’s Early Development Program Term; provided that, solely with respect to the Pain 1 Program, if TC-2696 becomes an Option Compound but GSK does not exercise its Program Option and TC-6499 satisfies the PoC Criteria during the Early Development Program Term, TC-6499 would become an Option Compound. An Option Compound is also a Collaboration Compound.
Option Compound means either (i) with respect to Option Targets for which Sanofi has selected a microRNA Antagonist under Section 3.1 above, any microRNA Antagonist discovered by Sanofi or its Affiliates that modulates the expression of such Option Target where its primary mechanism of action is [***] to such Option Target, or (ii) with respect to Option Targets for which Sanofi has selected a microRNA Mimic under Section 3.1 above, a microRNA Mimic discovered by Sanofi or its Affiliates with a [***] as the applicable Option Target and which is [***] of such Option Target.
Option Compound means [**] , for which Lilly has an option under this Agreement to develop and commercialize a product containing such compound together with any and all Devices and/or components thereof for buccal delivery.
