Option Cash definition

Option Cash means an amount in cash equal to the product of (i) the Aggregate Consideration Amount multiplied by (ii) the quotient obtained by dividing the Total Outstanding Options by the Total Outstanding Shares, rounded to the nearest whole cent (with 0.5 of a cent rounded down).
Option Cash has the meaning ascribed to it in Section 3.01(e)(iii).
Option Cash has the meaning ascribed to it in Section 1.7(d)(i)(C).

  • In no event will the Option Cash Settlement Amount be less than zero.

  • Aggregate Option Exercise Price means an amount equal to the aggregate dollar amount of the exercise price on all Company Options outstanding immediately prior to the Effective Time.

  • Stock Option Plans means any stock option plan now or hereafter adopted by the Partnership or the General Partner.

  • SAR Value means the excess of the Fair Market Value (on the exercise date) over the exercise price that the participant would have otherwise had to pay to exercise the related Stock Option, multiplied by the number of shares for which the Stock Appreciation Right is exercised.

  • SAR means a stock appreciation right granted under the Plan.
