Option 1 Purchase Price definition

Option 1 Purchase Price means the lesser of (i) the one (1) lowest traded price of the Common Stock on the Principal Market on the Clearing Date, or (ii) the average of the three (3) lowest closing sale prices of the Common Stock on the Principal Market during the Option 1 Valuation Period, as reported by Bloomberg Finance L.P. or other reputable source.
Option 1 Purchase Price means the lesser of (i) the lowest traded price of the Common Stock on the Principal Market on the Clearing Date, or (ii) the average of the three lowest closing sale prices of the Common Stock on the Principal Market during the Option 1 Valuation Period (as reported by Bloomberg Finance L.P. or other reputable source).
Option 1 Purchase Price means ninety-seven (97%) of the lowest daily VWAP of the Ordinary Shares on the Principal Market during the Option 1 Valuation Period, as reported by Bloomberg Finance L.P. or other reputable source provided that such purchase price shall not fall below the par value of the Ordinary Shares.
