Nothing in this Agreement is intended or should be construed as an admission by Serendib that any of the allegations in the Operative Complaint have merit or that Serendib has any liability for any claims asserted; nor should it be intended or construed as an admission by Plaintiff that Xxxxxxxx’s defenses in the Action have merit.
The Second Amended Complaint is the operative complaint in the Action (the “Operative Complaint.”) Serendib denies the allegations in the Operative Complaint, denies any failure to comply with the laws identified in the Operative Complaint and denies any and all liability for the causes of action alleged.
