Neither Seller, Operating Tenant nor Manager, has effectuated a "plant closing" (as defined in the WARN Act or any similar state or local law) or a "mass layoff" (as defined by the WARN Act or any similar state or local law) involving employees working at the Hotel in the three (3) months prior to the Closing Date.
Those certain Management Agreements between an Operating Tenant and a Manager which relate to the management and operation of the Hotels more particularly described on Exhibit “Q” attached hereto and by this reference incorporated herein pursuant to which the applicable Manager manages and operates the applicable Hotel.
