Operating Facility Lender definition

Operating Facility Lender means any person which becomes Party as an Operating Facility Lender pursuant to Clause 19.7 (Creditor/Agent Accession Undertaking), provided that:

Operating Facility Lender. “Parent”, “Party”, “Permitted Parent Financing Arranger”, “Permitted Parent Financing Creditor”, “Permitted Second Lien Financing Arranger”, “Permitted Second Lien Financing Creditor”, “Permitted Senior Financing Arranger”, “Permitted Senior Financing Creditor”, “Primary Creditor”, “Second Lien Agent”, “Second Lien Facility Arranger”, “Second Lien Borrower/Issuer”, “Second Lien Guarantor”, “Second Lien Secured Creditor Representative”, “Second Lien Facility Lender”, “Second Lien Secured Creditor”, “Security Agent”, “Senior Agent”, “Senior Arranger”, “Senior Borrower/Issuer”, “Senior Secured Creditor”, “Senior Xxxx Xxxxxx”, “Senior Bridge Lender”, “Senior Secured Creditor Representative”, “Senior Noteholder”, “Senior Notes Trustee”, “Senior Parent Creditor”, “Senior Parent Creditor Representative”, “Senior Parent Noteholder” or “Senior Parent Note Trustee” shall be construed to be a reference to it in its capacity as such and not in any other capacity;

  • Before each occasion on which it intends to implement the provisions of this Clause 15, the Security Agent shall send notice to each Hedge Counterparty, each Operating Facility Lender and each relevant Agent (on behalf of the relevant Senior Secured Creditors) requesting that it notify it of, respectively, its Exposure and that of each Senior Secured Creditor (if any).

  • Neither Administrative Agents nor any Lender or the Canadian Operating Facility Lender shall have any obligation to protect, secure, perfect or insure any Lien at any time held by it as security for the Canadian Borrower Obligations, the Canadian Operating Facility Obligations or for the guarantee contained in this Section 13 or any property subject thereto.

  • After any reduction in the Borrowing Base pursuant to this Section 2.8, the Total Syndicated Facility Commitment and the Operating Facility Commitment shall be reduced proportionately (having regard to the respective Commitments of each Syndicated Facility Lender and the Operating Facility Lender, and the Total Commitments, and without the need for any further consent or approval from such Lenders) so that the Total Commitment equals the most recent determination of the Borrowing Base.

  • If a Letter of Credit is drawn or cancelled prior to its expiry date, the Operating Facility Lender shall refund a pro rata share of the LC Fee to the Borrower.

  • The Operating Facility Lender shall, in addition to the Operating Facility, be entitled to make available to the Borrower and the Material Subsidiaries, or any of them, MasterCard facilities on such terms and conditions, in such amounts and pursuant to such agreements as the Operating Facility Lender agrees from time to time, provided that such MasterCard facilities shall not exceed the Equivalent Amount in Cdn.

  • Revolving Facility Lender means a Lender (including an Incremental Revolving Facility Lender) with a Revolving Facility Commitment or with outstanding Revolving Facility Loans.

  • Facility Lender Any lender(s) or tax equity financing party providing any Facility Debt and any successor(s) or assigns thereto, collectively.

  • Required Facility Lenders means, as of any date of determination, with respect to one or more Facilities, Lenders having more than 50% of the sum of (a) the Total Outstandings under such Facility or Facilities and (b) the aggregate unused Commitments under such Facility or Facilities; provided that the unused Commitments of, and the portion of the Total Outstandings under such Facility or Facilities held or deemed held by, any Defaulting Lender shall be excluded for purposes of making a determination of the Required Facility Lenders.

  • Required Revolving Facility Lenders means, at any time, Revolving Facility Lenders having (a) Revolving Facility Loans outstanding, (b) Revolving L/C Exposures and (c) Available Unused Commitments that, taken together, represent more than 50% of the sum of (x) all Revolving Facility Loans outstanding, (y) all Revolving L/C Exposures and (z) the total Available Unused Commitments at such time; provided, that the Revolving Facility Loans, Revolving L/C Exposures and Available Unused Commitment of any Defaulting Lender shall be disregarded in determining Required Revolving Facility Lenders at any time.

  • Incremental Revolving Facility Lender means a Lender with an Incremental Revolving Facility Commitment or an outstanding Incremental Revolving Loan.

  • Revolving Facility Loan means a Loan made by a Revolving Facility Lender pursuant to Section 2.01.

  • Existing Facility means a facility in existence on any given date, newly constructed or altered.

  • Revolving Facility Percentage means, with respect to any Revolving Facility Lender, the percentage of the total Revolving Facility Commitments represented by such Lender’s Revolving Facility Commitment.   • Incremental Revolving Facility Commitment means the commitment of any Lender, established pursuant to Section 2.21, to make Incremental Revolving Loans to the Borrower.

  • Revolving Facility means, at any time, the aggregate amount of the Revolving Lenders’ Revolving Commitments at such time.

  • Other Revolving Facility Commitments means Incremental Revolving Facility Commitments to make Other Revolving Loans.

  • Revolving Facility Exposure means, for any Lender at any time, the sum of (i) the principal amount of Revolving Loans made by such Lender and outstanding at such time, and (ii) such Lender’s share of the LC Outstandings at such time.

  • Receiving facility means a structure that is designed to receive septage waste for treatment at a wastewater treatment plant or at a research, development, and demonstration project authorized under section 11511b to which the structure is directly connected, and that is available for that purpose as provided for in an ordinance of the local unit of government where the structure is located or in an operating plan. Receiving facility does not include either of the following:

  • Incremental Revolving Facility has the meaning assigned to such term in Section 2.22(a).

  • L/C Facility means the letter of credit facility established pursuant to Article III.

  • Revolving Facility Credit Exposure means, at any time, the sum of (a) the aggregate principal amount of the Revolving Facility Loans outstanding at such time, (b) the Swingline Exposure at such time and (c) any Revolving L/C Exposure at such time. The Revolving Facility Credit Exposure of any Lender at any time shall be the product of (x) such Lender’s Revolving Facility Percentage and (y) the aggregate Revolving Facility Credit Exposure of all Lenders, collectively, at such time.
