Operating Entities definition

Operating Entities means, from time to time, the Persons in which the Holding Entities, directly or indirectly, hold interests and that (i) directly hold real estate assets, or (ii) indirectly hold real estate assets but all of the interests of which are not held, directly or indirectly, by the Holding Entities, other than, in the case of each of (i) and (ii), any Person in which the Holding Entities, directly or indirectly, hold interests for investment purposes only of less than 5% of the outstanding equity securities of that Person;

Operating Entities means, from time to time, the Persons that (i) directly hold the Power Operations, or (ii) indirectly hold the Power Operations but all of the interests of which are not held by the Service Recipients including, in the case of each of (i) and (ii), any joint ventures, partnerships and consortium arrangements;

Operating Entities means the subsidiaries of the Holding Entities which, from time to time, directly or indirectly hold, or may in the future hold, assets or operations, including any assets or operations held through joint ventures, partnerships and consortium arrangements.

Examples of Operating Entities in a sentence

• No Governmental Entity has asserted that the Operating Entities are required to file Tax Returns or pay any Taxes in any jurisdiction where they do not do so.

• None of the Operating Entity has been declared unable to meet its debts as they fall due, and to the Knowledge of the Operating Entities, there is no valid basis currently existing upon which it could be reasonably expected that a third party could require the dissolution or winding up of any of the Operating Entity.

• Schedule 3.2(a) of the Disclosure Letter sets out a true and complete list of (A) each jurisdiction in which the Operating Entities are registered, licensed or qualified to carry on the Business, (B) the names (registered or otherwise) under which the Operating Entities conduct the Business and (C) the name of each director and officer of the Operating Entities and the positions held by each.

• The Operating Entities are current in all premiums or other payments due under the insurance policies, have otherwise complied in all material respects with all of their respective obligations under each insurance policy, and, as of the date of this Agreement, no written notice of cancellation, non-renewal or termination has been received by the Operating Entities.

• As of the date of this Agreement, no written disallowance of, or reservation of rights letter with respect to, any material claim under any insurance policy has been received by the Operating Entities.

More Definitions of Operating Entities

Operating Entities means any entities which, from time to time, directly or indirectly hold the operations and/or renewable energy assets of the Partnership.

Operating Entities means, from time to time, the Persons other than the Service Recipients or the Holding Entities that (i) directly hold the Infrastructure Operations, or (ii) indirectly hold the Infrastructure Operations, but all of the interests of which are not held by a Service Recipient or a Holding Entity, including in the case of each of (i) and (ii), any joint ventures, partnerships and consortium arrangements, and, other than in the case of each of (i) and (ii), any Person in which the Service Recipients or the Holding Entities, directly or indirectly, hold interests for investment purposes only of less than 5% of the outstanding equity securities of that Person;

Operating Entities means the Persons directly Controlled by FIG.

Operating Entities means any entities in which the Holding Entities hold interests and that directly or indirectly hold the operations and assets of the Partnership other than entities in which the Holding Entities hold interests for investment purposes only of less than 5% of the equity securities.

Operating Entities means the entities which, from time to time, directly or indirectly hold Brookfield Renewable’s operations and hold assets or operations that Brookfield Renewable may acquire in the future which are not held by the Service Recipients, including any assets or operations held through joint ventures, partnerships and consortium arrangements.

Operating Entities means, from time to time, the Persons in which the Holding Entities, directly or indirectly, hold interests and that (i) directly hold BBP’s operations and assets, or (ii) indirectly hold BBP’s operations and assets but all of the interests of which are not held, directly or indirectly, by the Holding Entities, other than, in the case of each of (i) and (ii), BBUC, and any Person in which the Holding Entities, directly or indirectly, hold interests for investment purposes only of less than 5% of the outstanding equity interests of that Person;

Operating Entities shall have the meaning set forth in the Certificate of Incorporation.
