All Operating Employees shall either be employees of Manager or outside independent contractors, and Owner shall have no right or obligation to hire, compensate (including the payment of any employee incentives) direct, supervise, discharge, suspend, or discipline such employees.
Manager shall abide by federal law and the laws of the State in connection with the hiring and employment of such employees and will comply with any Federal or State withholding tax, Social Security or unemployment laws existing or enacted in the future for the benefit of or relative to the Operating Employees.
All such plans, agreements, programs, policies and arrangements shall be collectively referred to as the "Company Plans." The Company has furnished to Buyer all employment agreements covering Operating Employees maintained by the Company Group.
