Operating Cash Flow Ratio means, on any date (the “Transaction Date”), with respect to any Person, the ratio of
Operating Cash Flow Ratio means the ratio of Operating Cash Flow to Net Income Before AI.

In making the foregoing calculation, (1) pro forma effect shall be given to any Asset Acquisition or Asset Disposition to the extent that either the outstanding Indebtedness incurred in connection therewith or income or loss generated therefrom were not included for the whole period in computing the Operating Cash Flow Ratio and (2) Operating Cash Flow shall be adjusted to give effect to any pro forma cost reductions arising out of any such Asset Acquisition or Asset Disposition, in such amount as Insight shall reasonably and in good faith determine.

Operating Cash Flow Ratio means the ratio of the Partnership's indebtedness to its cash flow as calculated for purposes of that loan agreement to which the Partnership is subject that includes the most restrictive covenant regarding the ratio of the Partnership's indebtedness to its cash flow.
