Stock Plan means any stock incentive, stock option, stock ownership or employee benefits plan of the General Partner.
Company Stock Plan means any stock option plan or other stock or equity-related plan of the Company.
Restricted Stock Plan means the RPM, Inc. 1997 Restricted Stock Plan and any successor plan or arrangement thereto.
Approved Stock Plan means any employee benefit plan which has been approved by the Board of Directors of the Company, pursuant to which the Company's securities may be issued to any employee, officer or director for services provided to the Company.
Omnibus Plan means the Hanesbrands Inc. Omnibus Incentive Plan of 2006, as amended from time to time, and any successor plan or plans. The long-term incentive described in this section (“Long-Term Cash Incentive Plan”) includes cash long-term incentives, but does not include stock options, RSUs, or other equity awards. Such amounts shall be payable as provided in section 2(c). Treatment of stock options, RSUs, or other equity awards shall be determined pursuant to the Executive’s award agreement(s). Executive shall not be eligible for any new Annual Incentive Plan grants, Long-Term Cash Incentive Plan grants, or any other grants of stock options, RSUs, or other equity awards under the Omnibus Plan during the Severance Period.
Equity Plan means any stock or equity purchase plan, restricted stock or equity plan or other similar equity compensation plan now or hereafter adopted by the Partnership or the General Partner, including the Plan.
Option Plan has the meaning ascribed to it in section "4.7" hereinbelow;
Parent Stock Plan has the meaning set forth in Section 6.2(a).
Company Stock Plans has the meaning set forth in Section 3.02(b).
Stock Plans shall have the meaning set forth in Section 3.7.
Company Stock Option Plan means the Company's 1999 Stock Option Plan.
Share Option Plan means any equity incentive plan of the General Partner, the General Partner Entity, the Partnership and/or any Affiliate of the Partnership.
Company Stock Option Plans means the 1996 Equity Incentive Plan, 1998 Stock Option Plan for Non-Employee Directors and 1999 Employee Stock Option Plan.
Incentive Plan means any plan providing compensation that depends on achieving certain performance goals or similar conditions within a specified period;
Omnibus Incentive Plan means (i) Constellation Energy Partners LLC Long-Term Incentive Plan, (ii) the Constellation Energy Partners LLC 2009 Omnibus Incentive Plan and (iii) any successor plan adopted by CEP or any of its Affiliates for the benefit of the employees of CEP or any of its Affiliates.
Restricted Stock Unit Agreement means the agreement consistent with the terms of the Plan between the Company and the recipient of a Restricted Stock Unit that contains the terms, conditions and restrictions pertaining to such Restricted Stock Unit.
Stock Appreciation Rights Agreement means a written agreement between the Company and a Holder with respect to an Award of Stock Appreciation Rights.
Stock Purchase Plan means the employee stock purchase plan to be established by Water Pik pursuant to Section 2.2.
non-equity incentive plan means an incentive plan or portion of an incentive plan that is not an equity incentive plan;
Non-U.S. Plan means any plan, fund or other similar program that (a) is established or maintained outside the United States of America by the Company or any Subsidiary primarily for the benefit of employees of the Company or one or more Subsidiaries residing outside the United States of America, which plan, fund or other similar program provides, or results in, retirement income, a deferral of income in contemplation of retirement or payments to be made upon termination of employment, and (b) is not subject to ERISA or the Code.
Stock Incentive Plan has the meaning set forth in Section 3(b) of the Agreement.
Stock Option Plan means any stock option plan now or hereafter adopted by the Company or by the Corporation, including the Corporate Incentive Award Plan.
Bonus Stock Award means an award of Bonus Stock under this Plan.
Bonus Stock means shares of Common Stock which are not subject to a Restriction Period or Performance Measures.
Employee Stock Purchase Plan means a plan that grants Purchase Rights intended to be options issued under an “employee stock purchase plan,” as that term is defined in Section 423(b) of the Code.
