Officers as Agents. The Officers, to the extent of their powers set forth in this Agreement or otherwise vested in them by action of the Board not inconsistent with this Agreement, are agents of the Company for the purpose of the Company’s business and, subject to Section 9(j), the actions of the Officers taken in accordance with such powers shall bind the Company.

The Officers, to the extent of the powers delegated to them by the Executive Committee, are agents of the Company for the purpose of the Company’s business and the actions of the Officers taken in accordance with such powers shall bind the Company. Notwithstanding anything to the contrary in this Agreement, so long as the NSAM Designation Threshold is met, no Officer shall be authorized to take any action that constitutes a Major Matter without the consent of the NSAM Designees pursuant to the terms of this Article V.
Officers as Agents. The Officers, to the extent of their powers set forth in this Agreement and the By-Laws or otherwise vested in them by action of the Board not inconsistent with this Agreement or the By-Laws, are agents of the Exchange for the purpose of the Exchange's business, and the actions of the Officers taken in accordance with such powers shall bind the Exchange.
Officers as Agents. The Officers, to the extent of their ------------------ powers and limitations set forth in this Agreement or otherwise vested in them by action of the Board, are agents of CPEC for the purpose of CPEC's business, and the actions of the Officers taken in accordance with such powers shall bind CPEC.
Officers as Agents. The officers, to the extent of their powers set forth in this Agreement or otherwise vested in them by action of the Member not inconsistent with this Agreement, are agents of the LLC for the purpose of the LLC's business, and, the actions of the officers taken in accordance with such powers shall bind the LLC.
Officers as Agents. The Officers, to the extent of their powers set forth in Sections 2.9 and 2.10 of this Agreement or otherwise vested in them by the Majority Certificateholders not inconsistent with this Agreement, are agents of the Trust for the purpose of the Trust’s business and the actions of the Officers taken in accordance with such powers shall bind the Trust.
Officers as Agents.
