Offers to Exchange shall have the meaning set forth in Section 7.12(c).
Offers to Exchange has the meaning ascribed to it in Section 7.8(b).

Examples of Offers to Exchange in a sentence

  • Offers to Exchange Existing Securities received from Holders which do not provide details of a valid Clearing System account may not be accepted by either ECN Issuer or Lloyds Banking Group (as the case may be).

  • Offers to Exchange are irrevocable and may be withdrawn only in the limited circumstances described in paragraph 7(b) (Amendment and Termination) of the section entitled “Terms of the Invitation” of the Exchange Offer Memorandum.

  • Holders whose Offers to Exchange are accepted by the relevant ECN Issuer or Lloyds Banking Group (as the case may be) and are entitled to receive the relevant Exchange Consideration Amount have no right to receive New Shares.

  • Participating Holders may only revoke their Offers to Exchange in the limited circumstances set out under ‘‘Revocation Rights’’ below.

Related to Offers to Exchange

  • Exchanges means the TSX Venture Exchange and, if applicable, any other stock exchange on which the Shares are listed.

  • Registered Exchange Offer means the offer by the Company, pursuant to the Registration Agreement, to certain Holders of Initial Securities, to issue and deliver to such Holders, in exchange for their Initial Securities, a like aggregate principal amount of Exchange Securities registered under the Securities Act.

  • Related Exchange(s means each exchange or quotation system (as the Determination Agent may select) where trading has a material effect (as determined by the Determination Agent) on the overall market for futures or options contracts relating to the Share or, in any such case, any transferee or successor exchange of such exchange or quotation system.

  • Stock Exchanges means BSE Limited and National Stock Exchange of India Limited;

  • Permitted Debt Exchange Offer shall have the meaning provided in Section 2.15(a).

  • making available on the market means any supply of a product for distribution, consumption or use on the Union market in the course of a commercial activity, whether in return for payment or free of charge;

  • Exchange means the TSX Venture Exchange;

  • Trading System means the Company’s electronic trade execution system that is used for the trading of Swaps, including the associated hardware, software, systems and communications links.

  • National Securities Exchange means an exchange registered with the Commission under Section 6(a) of the Exchange Act (or any successor to such Section).

  • Optional Exchange means the exchange of the Certificates by the Trust for the Underlying Securities pursuant to Section 7(a) hereof.

  • Reference Exchange means XETRA.

  • Primary Exchange means, with respect to each Index constituent or each constituent underlying a Successor Index, the primary exchange or market of trading such Index constituent or such constituent underlying a Successor Index.

  • Alternative Stock Exchange means at any time, in the case of the Ordinary Shares, if they are not at that time listed and traded on the ASX, the principal stock exchange or securities market on which the Ordinary Shares are then listed or quoted or dealt in;

  • Like-Kind Exchange means the exchange of a Replacement Vehicle for a Leased Vehicle in a manner so as to defer the recognition of taxable gain upon the disposition of such Leased Vehicle in accordance with and pursuant to Section 1031 of the Internal Revenue Code, as amended.

  • Permitted Debt Exchange shall have the meaning provided in Section 2.15(a).

  • Telephone Exchange Service means a service within a telephone exchange, or within a connected system of telephone exchanges within the same exchange area operated to furnish to End User Customers intercommunicating service of the character ordinarily furnished by a single exchange, and which is covered by the Exchange Service charge, or comparable service provided through a system of Switches, transmission equipment or other facilities (or combinations thereof) by which a subscriber can originate and terminate a Telecommunications Service.

  • Exchange Offer Registration means a registration under the Securities Act effected pursuant to Section 2(a) hereof.

  • SIX Swiss Exchange means SIX Swiss Exchange AG and any successor thereto; and

  • Permitted Exchange means any of The New York Stock Exchange, The NASDAQ Global Select Market or The NASDAQ Global Market (or any of their respective successors).
