Offer Employees definition

Offer Employees means the current employees of Sapphire or any of its Subsidiaries who are exclusively or primarily engaged in the Businesses (other than the Transferred Entity Employees) and with respect to whom the Transfer Regulations do not apply, as set forth in the List, as amended from time to time in accordance with Section 7.12.
Offer Employees has the meaning specified in Section 7.01(a).
Offer Employees shall have the meaning set forth in Section 6.08(a).

Examples of Offer Employees in a sentence

  • Any offers of employment made to Offer Employees who are anticipated to be Actively at Work on the Closing Date shall provide for employment with Purchaser or an Affiliate of Purchaser to commence effective as of 12:00 A.M., local time, on the Closing Date.
