OEM Customers definition

OEM Customers. The purchaser of the OEM Products who integrates the OEM Products into purchaser-branded hardware products and/or system (the “Customer System”) that the OEM Customer delivers (directly or indirectly) to an end user as a complete solution. The Customer System provides functionality beyond that of the OEM Product. A list of OEM Customers as of the date of execution of this Addendum is provided in Schedule B which may be changed by Symbol from time to time.
OEM Customers means (i) any entity or other person which purchases or otherwise obtains from LICENSEE or an Affiliate of LICENSEE a product or product component for the purpose of adding to, modifying, altering, or finishing such product or its packaging, or combining it with other products, prior to sale thereof by said OEM Customer, or (ii) any entity or other person which purchases or otherwise obtains from LICENSEE or an Affiliate of LICENSEE a product made to specifications that are particular to that entity or person.
OEM Customers means, collectively, General Motors LLC, Ford Motor Company, FCA US LLC f/k/a Chrysler Group LLC, Nissan North America, Inc., BMW Manufacturing Co., LLC and any other customer of the Debtors party to the Accommodation Agreements.

More Definitions of OEM Customers

OEM Customers means customers that are original equipment manufacturers of vehicles.
OEM Customers means the companies set forth on EXHIBIT E attached hereto, as such Exhibit may be amended from time to time in writing by mutual agreement of the parties.

Notwithstanding the foregoing, none of the following activities (whether considered separately or collectively) shall constitute a Restricted Business for purposes hereof and accordingly Seller and its Affiliates, successors and assigns shall be entitled to engage in each of the following activities at any time without any breach or violation of Section 6.3 of this Agreement: (i) the development, marketing, sale and distribution of products substantially similar to or having the same or substantially similar functionality as Business Products by Seller or its Affiliates to customers under any Seller-owned brand; (ii) the development, marketing, sale and distribution of Seller's Jupiter family of products as set forth on Schedule 6.3(c) (the "Jupiter Products") to International Business Machines Corporation and its Affiliates; (iii) the performance of the FS Agreement as contemplated by Section 2.8(b) of this Agreement until such time as the FS Agreement is duly and validly assigned to Parent or its Affiliates; and (iv) the development, marketing, sale and distribution of storage software or software for RAID controllers or other similar products not involving (x) the development of external system storage hardware products or (y) the development, marketing, sale or distribution of JBODs or RBODs.
