obligations of Employer. Executive's employment with Employer shall terminate immediately as of the Date of Termination in the event of Executive's death, in the event that Executive becomes Disabled (as hereinafter defined), or in the event that Executive retires upon or after attaining age 65, prior to the fifth anniversary of the Effective Date for personal or spousal health reasons or after such fifth anniversary for any reason ("Retirement"). The Board shall promptly give Executive written notice of any such determination of Executive's Disability and of any decision of the Board to terminate Executive's employment by reason thereof. In the event of Disability, until the Date of Termination, the base salary payable to Executive under Paragraph 3 hereof shall be reduced dollar-for-dollar by the amount of disability benefits, if any, paid to Executive in accordance with any disability policy or program provided by Employer.

  • The rights and obligations of Employer under this Agreement shall inure to the benefit of and shall be binding upon the successors and assigns of Employer.

  • contract of employment means a contract of service or apprenticeship, whether express or implied, and (if it is express) whether oral or in writing;

The Company shall maintain documentation of the determination of that reasonable estimate and provide such documentation to the Exchange in accordance with the Listing Standards.
