Seller shall have the right, but not the obligation, to elect to cure, at Seller’s sole cost and expense, one or more of the New Matters Objections by delivering written notice of such election to Buyer within two (2) Business Days of Seller’s receipt of a New Matters Objections Notice (the “New Matters Cure Notice”).
If an Objections Notice is timely delivered, the parties to this Agreement shall use their reasonable best efforts to resolve the dispute.
If the parties to this Agreement fail to resolve the dispute within fifteen (15) days after delivery of the Objections Notice, the dispute shall be resolved by a “Big 4” accounting firm mutually acceptable to such parties (the “Accounting Referee”).
If the Parties fail to agree within fifteen (15) days after the delivery of the Allocation Objections Notice, then the disputed items shall be resolved in accordance with the mechanics applicable under Section 2.04.
Unless Seller submits an Objections Notice on or before the expiration of such thirty (30) day period, the Final Allocation Statement prepared and delivered to Seller pursuant to this Section 2.2(b) shall be deemed agreed upon by the Parties and shall be deemed conclusive for purposes of the Final Allocation.
