Number of Warrant Shares. Exercise Price: $1.00 per Warrant Share Original Issue Date: March ____, 2005 Expiration Date: March ___, 2010 FOR VALUE RECEIVED, subject to the provisions hereinafter set forth, the undersigned, HiEnergy Technologies, Inc., a Delaware corporation (together with its successors and assigns, the "Issuer"), hereby certifies that the Holder or its registered assign or assigns (individually or collectively referred to as the "Holder") is entitled to subscribe for and purchase, during the period defined below in this Warrant as the Term, the number of Warrant Shares indicated above shares (subject to adjustment as hereinafter provided) of the duly authorized, validly issued, fully paid and non-assessable shares of the Issuer's Common Stock, as defined below in this Warrant, at an exercise price per share equal to the Warrant Price then in effect, subject, however, to the provisions and upon the terms and conditions hereinafter set forth.

Number of Warrant Shares on Schedule I hereto, at an exercise price equal to the Purchase Price Per Share. No additional consideration shall be payable by any Purchaser in respect of the issuance by the Company of such Purchaser’s Warrant at the Closing.

Number of Warrant Shares shall have the meaning set forth in the Warrant Agreement.

• Notwithstanding any provision of this Warrant to the contrary, no more than the Maximum Eligibility Number of Warrant Shares shall be exercisable hereunder.

Number of Warrant Shares per Warrant means one share of Common Stock, subject to adjustment pursuant to the terms of this Agreement.

Number of Warrant Shares means, at the time of any determination thereof (i) if no adjustments have theretofore been made pursuant to the provisions of Section 6 hereof, the Original Number of Warrant Shares, and (ii) if any one or more such adjustments have been so made, the amount to which the Original Number of Warrant Shares shall have been so adjusted pursuant to the terms of this Warrant, in each case reduced appropriately by the number of shares of Common Stock theretofore purchased pursuant to the exercise of this Warrant.
