Notional Shares definition

Notional Shares means the number of assumed shares of Common Stock of the Company as determined by the Committee from time to time in order to implement the purposes of the Plan. The number of Notional Shares under the Plan (including the Plan as in effect prior to the Effective Date) shall equal 20 million shares.
Notional Shares means any notional Shares to which a Phantom Option relates (notwithstanding the fact that such Phantom Option may not entitle the holder thereof to acquire Shares);
Notional Shares means the number of assumed shares of Common Stock of the Company as determined by the Committee from time to time in order to implement the purposes of the Plan, and shall equal 15 million shares on the effective date described in Section 10 hereof.

Examples of Notional Shares in a sentence

  • Allegion shall be responsible for all Liabilities associated with Allegion RSUs, Allegion PSUs and Allegion Notional Shares including any share delivery, registration or other obligations related to the settlement of the Allegion RSUs, Allegion PSUs and Allegion Notional Shares.

  • If the resulting product includes a fractional share, the number of adjusted IR Notional Shares shall be rounded up to the nearest whole share.

  • If the resulting product includes a fractional share, the number of Allegion Notional Shares shall be rounded up to the nearest whole share.

  • IR Notional Shares held by an Allegion Group Employee or Former Allegion Group Employee immediately prior to the Effective Time shall be replaced with a number of Allegion notional shares (the “Allegion Notional Shares”) determined by dividing the number of IR Notional Shares held by such individual by the Allegion Ratio.

  • IR Notional Shares held by an IR Group Employee, IR Director or a Former IR Group Employee immediately prior to the Effective Time shall be adjusted by dividing the number of IR Notional Shares held by such individual by the IR Ratio.

  • In addition, shares held by Affiliates and Associates of an Acquiring Person, and Notional Shares held by counterparties to a Derivatives Contract with an Acquiring Person, will be deemed to be beneficially owned by the Acquiring Person (in each case as such capitalized terms are defined in the Rights Agreement).


More Definitions of Notional Shares

Notional Shares means notional shares to be issued under the Plan, with each Notional Share notionally representing one Common Share;
Notional Shares means, at any time during the Option Period, that number of Shares which the Holder would hold if:
Notional Shares means fictitious shares of the Company's common stock that are equivalent in value at all times to shares of Stock.

Notional Shares means rights to receive a cash payment and/or Common Shares under the Plan based on notional shares and notional dividends credited in respect of notional shares, with each Notional Share notionally representing one Common Share when granted;
Notional Shares means a unit of reckoning for the purposes of determining the assets of a Managed Class Fund and the Net Asset Value per Share of a Class Fund which includes assets attributable to a Managed Class Fund in accordance with the bye-Laws, and for certainty no votes or voting rights shall be attributable to notional Shares.

  • Ordinary Shares Equivalents means any securities of the Company or the Subsidiaries which would entitle the holder thereof to acquire at any time Ordinary Shares, including, without limitation, any debt, preferred stock, right, option, warrant or other instrument that is at any time convertible into or exercisable or exchangeable for, or otherwise entitles the holder thereof to receive, Ordinary Shares.

  • Additional Shares of Common Stock means all shares of Common Stock issued (or, pursuant to Subsection 4.4.3 below, deemed to be issued) by the Corporation after the Series B Original Issue Date, other than (1) the following shares of Common Stock and (2) shares of Common Stock deemed issued pursuant to the following Options and Convertible Securities (clauses (1) and (2), collectively, “Exempted Securities”):

  • Class B Ordinary Shares shall have the meaning ascribed to it in Section 2.4(a).

  • Additional Shares shall have the meaning specified in Section 14.03(a).

  • Capital Shares Equivalents means any securities, rights, or obligations that are convertible into or exchangeable for or give any right to subscribe for any Capital Shares of the Company or any warrants, options or other rights to subscribe for or purchase Capital Shares or any such convertible or exchangeable securities.

  • Class A Ordinary Shares shall have the meaning ascribed to it in Section 2.4(a).

  • Original Shares means ordinary shares with a par value of US$0.0001 each in the capital of the Company;

  • Equivalent Shares means Preferred Shares and any other class or series of capital stock of the Company which is entitled to the same rights, privileges and preferences as the Preferred Shares.

  • Class A Preferred Shares shall have the meaning ascribed to it in Section 2.4(a).

  • Ordinary Share Equivalents means any securities of the Company or the Subsidiaries which would entitle the holder thereof to acquire at any time Ordinary Shares or ADSs, including, without limitation, any debt, preferred stock, right, option, warrant or other instrument that is at any time convertible into or exercisable or exchangeable for, or otherwise entitles the holder thereof to receive, Ordinary Shares or ADSs.

  • Fractional Share means a fractional share in the ICAV issued in accordance with Section 12.5.

  • Common Share Equivalent shall have the meaning ascribed to it in Section 11(a)(iii) hereof.

  • A Ordinary Shares means the A ordinary shares of £0.01 each in the capital of the Company;

  • Common Share Equivalents means any securities of the Company or the Subsidiaries which would entitle the holder thereof to acquire at any time Common Shares, including, without limitation, any debt, preferred stock, right, option, warrant or other instrument that is at any time convertible into or exercisable or exchangeable for, or otherwise entitles the holder thereof to receive, Common Shares.

  • Total Shares means (without double-counting), as of a particular date of determination, the algebraic sum of: (A) the Initial Shares, plus (B) the Additional Shares, minus (C) all Buyback Shares repurchased or redeemed between the Effective Date and such date of determination.

  • Dividend Shares means the shares of Common Stock issuable in payment of dividends payable on the Preferred Shares in accordance with the terms of the Certificate of Designation.

  • Class B Common Shares means shares of Class B Common Stock.

  • Class A Common Shares means the Class A common shares of the Company, par value US$0.00001 per share, at the date of this Indenture, subject to Section 14.07.

  • Class A Ordinary Share Value means, as of the close of business on the day preceding the date, the volume weighted average trading price of the Class A Ordinary Shares on all trading platforms or trading systems on which the Class A Ordinary Shares are being traded over the forty-five (45) trading days then ended, provided, that if the total aggregate trading volume over such 45-trading-day period is less than 5% of the public float, such period shall be extended to the ninety (90) trading days then ended, provided, further, if the total aggregate trading volume over such 90-trading-day period is less than 5% of the public float, the holder of the Class B Ordinary Shares shall request that the Board obtain an appraisal of the value of the Class A Ordinary Shares from one or more independent nationally-recognized third party appraisal companies and such appraisal shall constitute the Class A Ordinary Share Value.

  • Class B Warrants means the Common Stock purchase warrants delivered to the Purchasers at the Closing in accordance with Section 2.2(a) hereof, which Warrants shall be exercisable immediately and have a term of exercise equal to 5 years, in the form of Exhibit C attached hereto.

  • Adjustment Shares shall have the meaning set forth in Section 11(a)(ii) hereof.

  • Equivalent Preferred Shares shall have the meaning set forth in Section 11(b) hereof.

  • Common Shares means the common shares in the capital of the Company;

  • Class C Shares means the shares of Class C common stock of the Company.

  • Ordinary Shares shall have the meaning given in the Recitals hereto.

  • Class A Preferred Stock means the Class A Preferred Stock of the Company, par value $0.0001 per share.
