Notice of Intent to File means a written notice given by the Company pursuant to Section 2.D or Section 3.A that the Company is preparing to file a Primary Distribution Registration Statement or a Secondary Distribution Registration Statement under the Securities Act relating to an Underwritten Public Offering of Common Stock.

Notice of Intent to File means a brief project description and an estimate of the anticipated project expenditures to be covered by a grant award. This notice will be used by the Director to determine the number of jurisdictions that plan to request a grant award and the equitable amount of grant monies that ultimately may be applied for by each eligible jurisdiction.

  • The Party receiving such Notice of Intent to File may then elect to participate in such filing, in which case it shall cooperate with the Filing Party in connection with such filing and the subsequent prosecution thereof and share the related costs and expenses evenly with the Filing Party.

The Potential Repudiation/Moratorium that is the subject of the Repudiation/Moratorium Extension Notice need not be continuing on the date the Repudiation/Moratorium Extension Notice is effective.
