Notice of Borrowing definition

Notice of Borrowing has the meaning specified in Section 2.02(a).

Notice of Borrowing shall have the meaning provided in Section 1.03(a).

Notice of Borrowing means a notice substantially in the form of Exhibit C (or such other form reasonably acceptable to the Administrative Agent and containing the information required in such Exhibit) to be delivered to the Administrative Agent pursuant to Section 2.1.(b) evidencing the Borrower’s request for a borrowing of Revolving Loans.

Examples of Notice of Borrowing in a sentence

• Upon receipt of a Notice of Borrowing, the Administrative Agent shall promptly inform the Lenders as to the terms thereof.

• The Borrower shall have delivered a Notice of Borrowing, duly executed and completed by the time specified in Section 2.1.

• Each such Lender shall make its Pro Rata Share of the requested Loans available to the Administrative Agent in immediately available funds at the Administrative Agent’s Office not later than 1:00 p.m. (or, for any Base Rate Loan in respect of which the Notice of Borrowing shall have been received after 10:00 a.m. on the date of the requested Borrowing of Loans pursuant to Section 2.1(b)(i) above, 3:00 p.m.) on the Business Day specified in the Notice of Borrowing.
