Notes Outstanding or "Outstanding Notes" means, as of any given date, all Notes which have been authenticated and delivered by the Trustee under this Indenture, except:

  • In the event that the Trustee shall receive conflicting or inconsistent requests from two or more groups of holders of the Controlling Class (or another Class is given priority as described in this paragraph), the Trustee shall give priority to the group which holds the greater amount of Notes Outstanding of such Class.

  • The Indenture Trustee shall, at such time as there are no Notes Outstanding and all sums due to the Indenture Trustee pursuant to Section 6.7 have been paid, release any remaining portion of the Trust Estate that secured the Notes and the other Secured Obligations from the Lien of this Indenture and release to the Issuing Entity or any other Person entitled thereto any funds then on deposit in the Designated Accounts.

  • If the holders of the Controlling Class do not have an interest in the outcome of the conflict, the Trustee shall give priority to the interests of the most senior Class of Notes Outstanding.

More Definitions of Notes Outstanding

Notes Outstanding at any time are all the Notes issued by Company except for those canceled by it, those delivered to it for cancellation, and those described in this definition as not Outstanding. A Note does not cease to be Outstanding because Company or an Affiliate of Company holds the Note. If a Note is replaced pursuant to Section 2.08 of the Indenture, it ceases to be Outstanding unless Company receives proof satisfactory to it that the replaced Note is held by a bona fide purchaser.

Notes Outstanding means all Notes which have been authenticated and delivered by the Fiscal Agent under this Indenture, except the following:
Notes Outstanding or “outstanding” means Notes that are outstanding as defined in the Indenture.
Notes Outstanding. The terms “Note” or “Notes” shall mean any note or notes of the Company authenticated and delivered under this Indenture, including any Global Note. The term “outstanding,” when used with reference to Notes, shall, subject to Section 9.4, mean, as of any particular time, all Notes authenticated and delivered by the Trustee under this Indenture, except (a) Notes theretofore cancelled by the Company or delivered to the Company for cancellation; (b) Notes, or portions thereof, for the payment or redemption of which moneys in the necessary amount shall have been deposited in trust with the Trustee or with any paying agent (other than the Company) or shall have been set aside and segregated in trust by the Company (if the Company shall act as its own paying agent); provided that if such Notes are to be redeemed prior to the Maturity thereof, notice of such redemption shall have been given as provided in Article III, or provisions satisfactory to the Trustee shall have been made for giving such notice; (c) Notes which shall have been Discharged; and (d) Notes in lieu of or in substitution for which other Notes shall have been authenticated and delivered, or which have been paid, pursuant to Section 2.7.

Related to Notes Outstanding

  • Advances Outstanding On any day, the aggregate principal amount of all Advances outstanding on such day, after giving effect to all repayments of Advances and the making of new Advances on such day.

  • Cumulative Outstanding Principal Amount means the aggregate principal amount of each series of Bonds issued and Outstanding from time to time in accordance with the provisions of this Ordinance, as reflected in the records maintained by the Registrar as provided in this Ordinance.

For the purpose of avoidance of doubt, it is clarified that any EMIs that are overdue and unpaid to the Bank prior to the occurrence of the Insured Event will not be considered for the purpose of this Policy and shall be deemed as paid by the Insured.

  • Aggregate Outstanding Loan Balance means on any day, the sum of the Outstanding Loan Balances of all Eligible Loans included as part of the Collateral on such date.

  • Principal Amount Outstanding means, in respect of a Covered Bond on any day the principal amount of that Covered Bond on the relevant Issue Date thereof less principal amounts received by the relevant Covered Bondholder in respect thereof on or prior to that day.

  • Principal Debt means, at any time, the unpaid principal balance of all Borrowings.
