The Prepetition Secured Notes Liens were granted to or for the benefit of the Secured Notes Agent and the other Notes Secured Parties for fair consideration and reasonably equivalent value, and were granted contemporaneously with the making of the loans and/or commitments and other financial accommodations secured thereby.
