NOTEHOLDER; HOLDER: The terms "Noteholder" or "Holder" shall mean any Person in whose name at the time a particular Note is registered in the Senior Debt Security Register kept for that purpose in accordance with the terms hereof.
No less often than on a monthly basis, upon reasonable prior notice and during normal business hours, the Master Servicer shall, without charge, make a knowledgeable Servicing Officer available to answer questions from the Controlling Class Directing Holder or any Companion Loan Noteholder (or Holder of the Class OEA-B Certificates), if any, regarding the performance and servicing of the Mortgage Loans and/of REO Properties for which the Master Servicer is responsible.
The Company shall pay interest on each Note to the person who is the registered holder of a Note ("Noteholder" or "Holder") at the close of business on the January 15, April 15, July 15 or October 15 preceding the Interest Payment Date.
Upon receipt of a Notice of Conversion the Company shall immediately issue irrevocable instructions to its transfer agent to issue certificates, registered in the name of each Noteholder or any Holder or their respective nominees, transferees and assignees, for the Conversion Shares, in such amounts as specified from time to time by each Noteholder or Holder to the Company upon proper conversion of the Convertible Notes.
