This Note shall bear interest at the rate of seven percent (7.0%) per annum, computed on a 365-day year basis, and shall accrue daily from the Note Issuance Date.
Interest shall accrue on the outstanding amount of this Note from the Original Note Issuance Date at a rate equal to 12% per annum, uncompounded and computed on the basis of the actual number of days elapsed (the “Base Rate”); provided, however, that upon the occurrence of an Event of Default (as defined below), all outstanding amount hereunder shall accrue interest at the rate equal to 15% per annum, uncompounded and computed on the basis of the actual number of days elapsed (the “Default Rate”).

If the Company shall at any time or from time to time after the Note Issuance Date effect a subdivision of the outstanding Common Stock, the Conversion Price in effect immediately before that subdivision shall be proportionately decreased so that the number of Conversion shares issuable on conversion of this Note shall be increased in proportion to such increase in the aggregate number of shares of Common Stock outstanding.
Such representations and warranties are remade as of the 2016-B Exchange Note Issuance Date and will survive the sale, transfer, assignment and conveyance of the 2016-B Exchange Note to the 2016-B Exchange Noteholder, the Transferor and the Issuer and the pledge of the 2016-B Exchange Note to the Indenture Trustee pursuant to the Indenture.
