Note Exchange Agreement means that certain Note Exchange Agreement on the form attached hereto as Exhibit 8 being entered into simultaneously with the execution of this Agreement by and among Zynaxis, CytRx, Vaxcel, Euclid Partners III, L.P. and S.R. One, Ltd.
