Norbord Options definition

Norbord Options means the outstanding options to purchase Norbord Shares granted under or otherwise subject to the Norbord Stock Option Plan or the Legacy Ainsworth Option Plan;
Norbord Options means the outstanding options to purchase Norbord Shares granted under or otherwise subject to certain Norbord stock option plans, which have been exchanged for, or are otherwise characterized as, Replacement Options following completion of the Norbord Acquisition;
Norbord Options means the outstanding options to purchase Norbord Shares granted under or otherwise subject to the Norbord Stock Option Plan or the Legacy Xxxxxxxxx Option Plan;

Examples of Norbord Options in a sentence

  • Each Option granted to a Participant will be subject to vesting in accordance with the vesting schedule applicable to the related Norbord Options granted to the Participant as of immediately prior to the Effective Time.

  • The Expiry Date of each Option granted to a Participant will be the original expiry date of the related Norbord Options held by the Participant, subject to extension under Section 4.06 and subject to earlier termination as set forth in this Plan and any Option Agreement.

  • The Options were granted to the Participants at the Effective Time pursuant to the Plan of Arrangement in exchange for the Norbord Options held by each Participant immediately prior to the Effective Time, which Options will have the terms and be subject to the conditions set forth in this Plan.


More Definitions of Norbord Options

Norbord Options means the options to purchase Norbord Shares granted to the Participants under the Norbord Plan (but excluding the Norbord UK Subplan Options) each of which were exchanged for Options pursuant to the Plan of Arrangement at the Effective Time, as further described in Section 3.1.

Related to Norbord Options

  • Stock Options means the collective reference to "Incentive Stock Options" and "Other Stock Options".

  • Company Stock Options means issued and outstanding options to acquire Company Common Stock which were granted under the Company Stock Option Plans.

  • Vested Options means the Options that have vested in accordance with Section 2.2 of this Agreement.

  • Options means any rights, warrants or options to subscribe for or purchase shares of Common Stock or Convertible Securities.

  • Stock Option Plans means any stock option plan now or hereafter adopted by the Partnership or the General Partner.

  • Company Stock Option Plans means the 1996 Equity Incentive Plan, 1998 Stock Option Plan for Non-Employee Directors and 1999 Employee Stock Option Plan.

  • SARS means the South African Revenue Service.

  • Rollover Options has the meaning provided in Subsection 3.1(h).

  • Parent Options means options to purchase shares of Parent Common Stock from Parent (whether granted by Parent pursuant to the Parent Option Plans, assumed by Parent or otherwise).

  • Non-Tandem Stock Appreciation Right means the right to receive an amount in cash and/or stock equal to the difference between (x) the Fair Market Value of a share of Common Stock on the date such right is exercised, and (y) the aggregate exercise price of such right, otherwise than on surrender of a Stock Option.

  • Incentive Share Option means an Option that is intended to meet the requirements of Section 422 of the Code or any successor provision thereto.

  • Company Stock Option means each option to purchase shares of Company Common Stock outstanding under the Company Stock Plans.

  • Restricted Stock Purchase Right means a right to purchase Stock granted to a Participant pursuant to Section 8.

  • Compensation Options has the meaning ascribed thereto on the face page of this Agreement;

  • Incentive Stock Options means Option Rights that are intended to qualify as “incentive stock options” under Section 422 of the Code or any successor provision.

  • Equity Awards will mean Executive’s outstanding stock options, stock appreciation rights, restricted stock units, performance shares, performance stock units and any other Company equity compensation awards.

  • Company Stock Option Plan means the Company's 1999 Stock Option Plan.

  • Tandem Stock Appreciation Right means the right to surrender to the Company all (or a portion) of a Stock Option in exchange for an amount in cash and/or stock equal to the difference between (i) the Fair Market Value on the date such Stock Option (or such portion thereof) is surrendered, of the Common Stock covered by such Stock Option (or such portion thereof), and (ii) the aggregate exercise price of such Stock Option (or such portion thereof).

  • Nonstatutory Stock Option means an Option not intended to qualify as an Incentive Stock Option.

  • Stock Purchase Rights means any warrants, options or other rights to subscribe for, purchase or otherwise acquire any shares of Common Stock or any Convertible Securities.

  • Option Plans has the meaning set forth in Section 2.6 below.

  • Tandem Appreciation Right means an Appreciation Right granted pursuant to Section 5 of this Plan that is granted in tandem with an Option Right.

  • Restricted Stock Units means an Award of stock units subject to such restrictions and conditions as the Administrator may determine at the time of grant.
