Nonvoting Members definition

Nonvoting Members means the Members holding Nonvoting Common Units.
Nonvoting Members means the Persons (as that term is defined below) who are issued or are otherwise holding Nonvoting Units (as that term is defined below), and "Nonvoting Member" shall mean any one of them.

  • Unless the context requires otherwise, in this Agreement, the terms “Member” or “Members,” without the qualifiers “Voting” or “Nonvoting,” refer to the Voting and Nonvoting Members collectively; and the terms “Manager” or “Managers” refers to the Voting Members.

  • Nonvoting Members may serve in an advisory, corresponding, or liaison capacity.

  • Observer Participants should participate in the Committee in a manner decided by the Members and Non-voting Members.

  • The Committee will be composed of representatives with suitable scientific and fisheries qualification from Members and Non-voting Members.

  • Nonvoting Members may include Delegates and the Resident Commissioner from Puerto Rico.

  • Nonvoting Members shall be entitled to serve and participate in the State Council’s committees and task forces; and attend the member meetings and social functions of the State Council.

  • There shall be two (2) classes of Membership: (1) Voting Members; and (2) Non-voting Members.

  • Nonvoting Members may include but not limited to members representative of Boys and Girls Club, Child Development Center, Youth Program, and where necessary, an attorney or other legal representative.

  • Nonvoting Members, including the Delegates and the Resident Commissioner, have been subject to the same expense formula as other Members since January 1, 1983 (P.L. 97-357, 96 Stat 1711, October 19, 1982), although the distance from D.C., size of population, or both, may vary greatly from other Members.

  • Voting Members has the meaning set forth in Section 4.07(b).

  • Voting Member means a Member holding one or more Voting Shares.

  • Non-Voting Member means a member of a Committee or Sub- Committee of the Council who is not a member of the Council and is not entitled to vote on any matter coming before that Committee or Sub- Committee;

  • Preferred Member means a Member holding Preferred Units.

  • Founding Members means those public school districts, cities, counties, and other governmental units that are signatories to the Joint Powers Agreement and have a voting member serving on the JPA's Board of Directors.

  • Class A Members means those Members who have purchased Class A Interests.

  • Class B Members means any Persons to whom Class B Membership Units are issued, and any assignee or transferee of such Persons permitted under the terms of this Agreement, and any other Person admitted to the Company in the future as a Class B Member pursuant to the terms hereof. The names of the Class B Members, and the Percentage Interests allocated to each such Class B Member, shall be reflected in the books and records of the Company.

  • Initial Members means those Persons whose names are set forth in the first sentence of this Agreement. A reference to an “Initial Member” means any of the Initial Members.

  • Majority Members means Members holding a majority of the Units owned by all Members or if there is only one Member, such Member.

  • Preferred Shareholders means the holders of Preferred Shares.

  • Members means all such Persons.

  • Majority in Interest of the Limited Partners means Limited Partners (other than the General Partner and any Limited Partner 50% or more of whose equity is owned, directly or indirectly, by the General Partner) holding Percentage Interests that in the aggregate are greater than fifty percent (50%) of the aggregate Percentage Interests of all Limited Partners (other than the General Partner and any Limited Partner 50% or more of whose equity is owned, directly or indirectly, by the General Partner).

  • Class C Member means a Member holding the Class C Ordinary Share.

  • Limited Partners means all such Persons.

  • Preferred Proponent(s means the Proponent(s) selected by the Evaluation Team to enter into negotiations for a Contract;

  • Preferred Proponent means the Proponent that is invited into negotiations in accordance with the evaluation process set out in this RFP;

  • Class A Member means a Member holding one or more Class A Ordinary Shares.

  • Class B Member means a Member holding one or more Class B Ordinary Shares.

  • New Members As Defined By the Public Employees’ Pension Reform Act of 2013 (PEPRA)

  • Founding Member means any individual who is either:

  • Preferred ’ means any of the above securities that are publicly traded on a recognized securities exchange and the securities have a rating of ‘‘A’’ or above. If the securities are not ‘‘Preferred,’’ they are listed as ‘‘Other.’’

  • Majority Stockholders means any Stockholder or combination of Stockholders who at the date of this Agreement own shares of Company Common Stock representing more than two-thirds of the total number of shares of Company Common Stock outstanding at the date of this Agreement.

  • Class B Limited Partner means any Person executing (by power of attorney or otherwise) this Agreement as of the date hereof as a Class B Limited Partner or hereafter admitted to the Partnership as a Class B Limited Partner as herein provided, but shall not include any Person who has ceased to be a Class B Limited Partner in the Partnership.

  • Preferred Holders means the record owners of outstanding Preferred Securities.

  • Special Member means, upon such person's admission to the Company as a member of the Company pursuant to Section 5(c), a person acting as Independent Director, in such person's capacity as a member of the Company. A Special Member shall only have the rights and duties expressly set forth in this Agreement.
