Nonunion Employees mean Seller’s Employees who are not subject to the Xxxxxxxx CBA or the Modified CBA nor on the Excluded Employees List and were immediately prior to the Closing Date (i) actively at work in connection with the Business or (ii) on short-term disability in connection with the Business.
