Noncompetition Term definition

Noncompetition Term means the period beginning on the date of this Agreement and ending 18 months following the Termination Date.
Noncompetition Term shall have the meaning set forth in Section 2.2(b).
Noncompetition Term means the Initial Noncompetition Period and, if extended pursuant to Section 3.3, the Extension Noncompetition Period.

  • For the purposes of this Agreement, the disclosure and use of Confidential Information is prohibited for the Noncompetition Term (defined below), or until the Confidential Information becomes publicly available through no direct or indirect fault or act of Employee or through a source authorized by TGA to make such disclosure.

  • Employee covenants and agrees that, during the Noncompetition Term, Employee will not, either directly or indirectly, cause, induce, solicit or encourage any actual or prospective donor (who is in active communications with TGA regarding donating money) of TGA that has donated money, services, goods or volunteered time during 2013-2014, to donate to or volunteer with a Competing Campaign (as defined above).

  • Except as set forth in this Article III or otherwise in this Agreement, RemainCo agrees that during the Noncompetition Term, RemainCo will not Compete in the SpinCo Core Field anywhere in the world.


More Definitions of Noncompetition Term

Noncompetition Term means the period beginning on the date of this Agreement and ending 12 months following the Termination Date, provided that if the Executive’s employment is terminated under Section 5(a)(iv) and the Executive delivers the release substantially in the form of Exhibit B, the Noncompetition Term for purposes of Section 7(b) only shall end seven months following the Termination Date.
Noncompetition Term shall also include this additional period. The Employee hereby acknowledges that the geographic boundaries, scope of prohibited activities and the time duration of the provisions of this Section 11 are reasonable and are no broader than are necessary to protect the legitimate business interests of the Company. This noncompetition provision shall survive the termination of the Employee's employment and can only be revoked or modified by a writing signed by the parties which specifically states an intent to revoke or modify this provision. The Employee acknowledges that the Company would not employ him but for her covenants or promises contained in this Section 11.
Noncompetition Term means the period beginning on the Termination Date and ending on the date that is the second anniversary of the Termination Date.
