Examples of Non-Extending Lender in a sentence
Each Lender party hereto, other than each Lender designated in its signature page hereto as a Non-Extending Lender (a “Non-Extending Lender”), hereby (a) agrees to the Extension and (b) agrees that, effective as of the date hereof, the Scheduled Maturity Date with respect to such Lender’s Commitment shall be September 30, 2018 (each such extending Lender, an “Extending Lender”).
If any Lender declines, or is deemed to have declined, to consent to such extension (a “Non-Extending Lender”), the Borrower may cause any such Non-Extending Lender to be removed or replaced as a Lender pursuant to Section 10.15.
Each Lender that determines not to so extend its Applicable Maturity Date (a “Non-Extending Lender”), shall notify the Administrative Agent of such fact promptly after such determination (but in any event no later than the Lender Notice Date), and any Lender that does not advise the Administrative Agent of any election on or before the Lender Notice Date shall be deemed to be a Non-Extending Lender.
Prior to any Non-Extending Lender being replaced by one or more Additional Lenders pursuant hereto, such Non-Extending Lender may elect, in its sole discretion, by giving irrevocable notice thereof to the Administrative Agent and the Company (which notice shall set forth such Lender’s new Applicable Maturity Date), to become an Extending Lender.
With respect to each Existing Term Lender or Existing Revolving Lender that has not consented to, and joined in, this Amendment (each a “Non-Extending Lender”), the Borrower hereby exercises its right under Section 14.7(c) to replace such Non-Extending Lender by requiring such Non-Extending Lender to assign its Loans and its Commitments to one or more assignees reasonably acceptable to the Administrative Agent.
