New Warrant Shares definition

New Warrant Shares means the shares of Common Stock issued or issuable upon the exercise of the New Warrants.

• The New Warrant ADSs and the New Warrant Shares, when issued in accordance with the terms of the New Warrant, will be validly issued, fully paid, free and clear of all liens imposed by the Company, other than restrictions on transfer provided for in the Transaction Documents.
