Air NZ and the Crown confirm that neither the Convertible Preference Shares nor the New Ordinary Shares will be issued with a view to any of them being offered for sale to the public in New Zealand in terms of the Securities Xxx 0000.
The Crown must be satisfied after due diligence that the price at which the New Ordinary Shares are to be issued to it represents fair value.
During the period from the date of this Agreement to the later of 31 December 2001 and the date on which the Convertible Preference Shares and New Ordinary Shares are issued, Air NZ will, and will procure that each other member of the Air NZ Group (as defined in clause 2.2) will, observe the provisions of the Fourth Schedule, except to the extent that the Crown agrees in writing otherwise.
The shareholders' undertakings contained in the Shareholders' Agreement relate to all YNAP shares held by RH and accordingly, (as at 31 December 2015): (a) No. 20,693,964 New Ordinary Shares, representing 24.28% of the ordinary share capital with voting rights of the Issuer; and (b) No. 44,905,633 B shares, representing the entire size of B shares issued by YNAP.
The Board of Directors of Air NZ complying with section 47 of the Companies Xxx 0000 and being entitled to issue the Convertible Preference Shares (and, to the extent necessary, the issue of ordinary shares pursuant to the terms of the Convertible Preference Shares) and the New Ordinary Shares, by passing all relevant resolutions and signing all relevant certificates under that section.
