Each Centurium Party shall have the Pass-Through Subscription Right to cause the Company to exercise its Pre-Emptive Right to subscribe for such number of Luckin Equity Securities up to its Pro Rata Portion of the total entitlement of the Company set out in the Luckin New Issuance Notice.
Within seven (7) Business Days of the Luckin New Issuance Notice, Centurium shall deliver a written notice to the Company and Classic Eternity specifying the number of Luckin Equity Securities it and the Classic Eternity Parties (as the case may be) intend to cause the Company to subscribe for.
In order to exercise its participation right, Investor will give the Issuer written notice (which notice shall be irrevocable when given) of the amount of New Securities it will purchase (which amount will not exceed its Maximum Amount) within ten (10) days after its receipt of the applicable New Issuance Notice.
The failure of such holder to respond within the fifteen (15) Business Day period or to pay for such New Securities when such payment is due shall be deemed to be a waiver of such holder’s rights under this Section 6 only with respect to the Dilutive Issuance described in the applicable New Issuance Notice.
Each applicable Member shall have thirty (30) calendar days from the delivery date of the New Issuance Notice (the “ Election Period”) to deliver written notice of its intention to purchase all or any portion of its Base Amount and, if applicable, Additional Amount at the price per Equity Interest and upon the terms and conditions set forth in the New Issuance Notice (the “Election Notice”).
