New Investor definition

New Investor means the third party investor, purchaser or lender (howsoever denominated) in a New Transaction.
New Investor has the meaning ascribed to such term in Section 6(a)(iii).
New Investor has the meaning given to such term in Section 2.01(c).

Examples of New Investor in a sentence

  • The Company and the New Investor shall be referred to collectively as the Parties.

  • The parties hereto hereby agree that the terms of such New Investor Investment shall (i) be for Common Stock at a deemed valuation of $0.025 per share, and (ii) include warrants to purchase Common Stock at an exercise price of $0.025 per share at a ratio of 1:1 with the shares of Common Stock issued in such financing.
