  • Borrower hereby reaffirms the validity and continued enforceability of each and every term of the Original Loan Documents as set forth therein, except as expressly modified in this Agreement and other New Documents.

  • This Deed, together with the New Documents to which any Party is a party, constitutes the entire agreement between, and understanding of, the Parties with respect to the subject matter of this Deed and supersedes any prior written or oral agreements or arrangements between the Parties in relation thereto.

  • Notwithstanding whether the Release Date occurs, neither the New Documents nor any of their terms shall be offered or received as evidence in any proceeding in any forum as an admission of any liability or wrongdoing on the party of any of the parties hereto.

Related to New Documents

  • RFP Documents means the following documents to be entered into by the parties to the respective agreements in connection with the supply of power:

  • Buyer Documents has the meaning set forth in Section 5.2.

  • Merger Documents means, collectively, this Agreement, the Certificate of Merger, and all other agreements and documents entered into in connection with the Merger and the other transactions contemplated hereby.

  • Bid Documents means all the documents issued by the Chief Procurement Officer, or referenced by the Chief Procurement Officer as being available on the City's website and incorporated by such reference, in connection with an invitation for bids or proposals. Except for such Bid Documents as are posted on the City's website and incorporated by reference, all Bid Documents must be submitted by a bidder on the Bid Opening Date.

  • Formation Documents means, collectively, the Issuer LLC Agreement, the Issuer Certificate of Formation and any other document pursuant to which the Issuer is formed or governed, as each may be amended or supplemented from time to time.

  • Purchaser Documents has the meaning set forth in Section 6.2.
